The Department

The Risk & Compliance Department at HFW is led by the London-based Risk & Compliance Partner and is currently structured as follows:

1. Risk Legal Team:

o Comprises four Risk Lawyers, an AML & Sanctions Lawyer/Deputy MLRO, two paralegals, and an Information Governance Manager.

o Handles complex financial crime and conflict of interest issues.

o Advises on SRA/regulatory compliance globally, data protection and client/supplier terms.

o AML & Sanctions Lawyer/Deputy MLRO is the specific escalation point for client due diligence (CDD) queries.

2. Business Acceptance Team:

o Headed by the Global Compliance Manager (currently based in Paris).

o Consists of 19 Risk & Compliance Officers (RCOs) globally (11 in London, 2 in Hong Kong, 4 in Singapore, 2 in Australia).

o Responsible for opening new matters in the Business Intake system (IntApp).

o Ensures completion of matter inception steps (conflict clearance, CDD, engagement letters, fee estimates).

o Provides advice on client and matter risk assessments.

o Sets up information barriers using IntApp Walls.

o Run (but do not analyse) conflict checks in the IntApp system.

3. Conflicts Researchers:

o A team of two researchers.

o Sole function: running (but not analysing) conflict checks in the IntApp system.

o Escalate complex or confidential conflicts to the Risk Legal Team.

4. Compliance Systems Manager:

o Manages the firm's compliance systems, particularly IntApp.

o Develops and upgrades systems as needed to reflect regulatory developments.

The Role

The Head of Conflicts will report to the Risk and Compliance Partner and is responsible for driving forwards a large-scale project to implement significant improvements to the firm's internal conflicts processes and procedures. As part of this, the successful candidate will be required to conduct a gap analysis and to train and build up a team of conflicts analysts. This role is crucial in ensuring the firm's compliance with professional standards and regulatory requirements.

Key Responsibilities

• Project Management: Lead on, and successfully deliver, a large-scale project to implement improvements to the firm's internal conflicts processes and procedures.

• Conflict Resolution: Identify and resolve potential conflicts of interest and confidentiality issues arising from client matters, lateral hires, and mergers. Draft waivers and consent language required in the resolution of conflicts of interest and confidentiality issues. Update the conflicts and confidentiality provisions in the firm's Terms of Business, as may be necessary from time to time. Lead on internal investigations and other queries which involve conflict of interest or confidentiality issues.

• Policy Development: Draft and update the firm's internal conflicts of interest policies and procedures.

• Training: Provide training to partners and staff, globally, on conflicts of interest and confidentiality.

• Reporting: Regularly report to the firm's management, Conflicts Committee, and partners on conflicts related issues.

• Team Building: Build and lead a team of analysts to support the firm's conflict resolution and risk management efforts. Line management and supervision of those currently running conflict checks.

Qualifications & Skills

• Legal Background: Qualified lawyer.

• Experience: Preferably 10 years of experience as a Conflicts Lawyer in an international firm.

• People Management: Strong people management skills and experience of successfully leading a team.

• Communication: Excellent communication, negotiation, and stakeholder management skills.

• Strategic: Demonstrable strategic and leadership skills.

• Analytical Thinking: Strong problem-solving and holistic risk assessment abilities.

• Resilience: Ability to work under pressure and to deadlines.

• Systems: In-depth and hands-on experience of using IntApp suite of products (Open, Walls etc).
