Spinwell is recruiting for an Interim Company Secretary for an excellent opportunity within the public sector.

RESPONSIBILITIES OF THE INTERIM COMPANY SECRETARY

  • Be responsible for the delivery and development of excellent corporate governance arrangements, and discharge the statutory functions assigned to the Company Secretary by the Companies Act, working closely with the Chairman, Chief Executive and Director of Corporate Governance/Chief of Staff to ensure that effective and compliant corporate governance arrangements are in place, and the Board are supported and operate effectively and efficiently.
  • Be responsible for ensuring the smooth operation of the Trust's decision making and reporting machinery, and for the formal administration of its affairs.
  • Support the Chief Executive and wider executive team in establishing and overseeing systems and processes to meet constitutional and regulatory requirements, including provisions to ensure compliance with the Trust's Standing Orders.
  • Provide professional advice to the Chief Executive, Board and senior management, sourcing appropriate legal and other specialist advice as and when required.
  • Ensure the effective operational management of the Board and its committees and working with the Executive Business Manager ensure good alignment with executive team and trust leadership group meetings.
  • Ensure the Trust's business is conducted with probity, accountability, and in accordance with national standards and regulations.
  • Keep under review legislative, regulatory and governance issues which may impact the Trust and ensure that the Board is effectively briefed.
  • Acts as a confidential and impartial soundingboard to the Chairman and other directors on issues of concern and provide a discreet but challenging voice in relation to Board deliberations and decision making.

SKILLS/EXPERIENCE OF THE INTERIM COMPANY SECRETARY

  • Solid understanding of corporate governance legislation and best practice
  • Understanding of the roles and relationships of NHS Trust Boards
  • Previous experience in a similar NHS role supporting boards and dealing with highly complex and sensitive situations OR able to demonstrate equivalent experience in another sector
  • Broad based corporate governance experience
  • Regulated industry or public sector experience
  • Experience of working with a range of internal and external stakeholders creating effective relationships
  • Continuous professional development.
  • Management or leadership qualification, or equivalent experience
  • Member of the Institute of Chartered Secretaries and Administrators or equivalent
  • Educated to degree level plus Masters/relevant post graduate level qualifications
  • Highly effective interpersonal, communication (verbal and written)
  • Ability to negotiate, influence and motivate others
  • Ability to quickly understand issues involving highly complex, sensitive and/or contentious information
  • High level of political awareness
  • Calm logical approach with an ability to work and deliver under pressure
  • Comfortable and credible operating at Board level
  • Ability to work with a high level of autonomy and make sound, informed judgements involving highly complex situations which require interpretation and options analysis
  • Good problem solving and analytical skills
  • Good report drafting skills for senior level internal and external audiences
