Company Secretariat/Secretary - ManagerOur client is a National Law firm and they are looking for an experienced Company secretariat/Secretary to come in and support the general counsel and run the day to day activities of Company Secretariat and governance function, in this role you will be leading a small team. Given they have a number of offices across the UK this role can be done largely remotely however you will be required to attend various offices when applicable. Role Responsibilities

The role of the Company Secretariat Manager is to support the General Counsel to ensure that the group make effective and efficient decisions in a legal and regulatory compliant way. Leading the day-to-day operations of the Group Company Secretariat and Governance function working in conjunction with the

General Counsel Leadership Team. Shaping and delivering an annual departmental plan including budgeting, resource planning and prioritisationRunning all Group and Subsidiary Board and Committee meetings, including preparing annual meeting plans, agendas, training and liaising with non-Executives and external parties as required. Supporting the wider

General Counsel team with policies and procedures, prepare and maintain all requisite registers, consents to deal, communications and announcements. Undertaking various corporate governance projects as required, including but not limited to reviews of terms of reference and matters reserved for the Board. Maintaining accurate records relating to share capital, including all employee and discretionary share plan transactions and incentives.

Required Skills and ExperienceICSA qualified with significant company secretarial experience. Experienced in managing and developing a small team. Strong communication skills and ability to interact confidently with people at all levels.
