Company Secretariat/Secretary - Manager

Our client is a National Law firm and they are looking for an experienced Company secretariat/Secretary to come in and support the general counsel and run the day to day activities of Company Secretariat and governance function, in this role you will be leading a small team. Given they have a number of offices across the UK this role can be done largely remotely however you will be required to attend various offices when applicable.


Role Responsibilities

  • The role of the Company Secretariat Manager is to support the General Counsel to ensure that the group make effective and efficient decisions in a legal and regulatory compliant way.
  • Leading the day-to-day operations of the Group Company Secretariat and Governance function working in conjunction with the General Counsel Leadership Team.
  • Shaping and delivering an annual departmental plan including budgeting, resource planning and prioritisation
  • Running all Group and Subsidiary Board and Committee meetings, including preparing annual meeting plans, agendas, training and liaising with non-Executives and external parties as required.
  • Supporting the wider General Counsel team with policies and procedures, prepare and maintain all requisite registers, consents to deal, communications and announcements.
  • Undertaking various corporate governance projects as required, including but not limited to reviews of terms of reference and matters reserved for the Board.
  • Maintaining accurate records relating to share capital, including all employee and discretionary share plan transactions and incentives.

Required Skills and Experience

  • ICSA qualified with significant company secretarial experience.
  • Experienced in managing and developing a small team.
  • Strong communication skills and ability to interact confidently with people at all levels.
