Reporting to the Chief Legal Officer (CLO), this new role will offer significant exposure and immediate impact within the organization. You will collaborate closely with senior leaders and peers both within and outside of the Legal function on a broad array of highly strategic and critical matters for the company.
The Head of Group Corporate and M&A Counsel role will be preferably based in Geneva (Switzerland), alongside the CLO, a large part of the Group Legal team and Group senior leaders.

Responsibilities of the Head of Group Corporate and M&A Counsel
This is a pivotal role that will provide strategic leadership and ensure our operations comply with legal standards, while also manage and foster relationships with various stakeholders. In this new role you will oversee all legal matters related to corporate governance and significant transactions. You'll be at the forefront of every major corporate transaction, shaping the future of our organization. This new role will be structured to lead a small team in the future.
Legal Leadership of Corporate, M&A/Transactions and Capital Markets
Shape and lead the Group Legal’s expertise in Corporate, M&A/Transactions and Capital Markets.
Collaborate closely with the Group Finance, Strategy, and Investor Relations teams to provide guidance and ensure high performance, in line with the company’s business objectives and plans.
Set the strategic vision, priorities, and goals for the Corporate & M&A/Transactions Legal team, in line with the Company’s business objectives and growth plans.
Management of Corporate Governance
Maintain a robust corporate governance framework, ensuring compliance with legal requirements and standards.
Manage legal entities and board of directors' matters effectively, preparing the company for future growth and opportunities.
Legal lead on Transactions
Lead the legal support and partner with Finance and Strategy teams on transactions, coordinating with other legal team members and external legal teams.
Provide legal advice and transactional support in relation to the capital markets
Coordinate with internal and external legal teams to manage mergers, acquisitions, and other strategic upcoming transactions.
Stakeholder management
Collaborate closely with senior leadership and support in managing relationships with the board of directors and investors.
Cultivate positive and productive partnerships with regulatory bodies, stock exchanges, and other pertinent external stakeholders.
Risk management
Provide practical and risk-conscious legal and business counsel to internal stakeholders across a wide range of corporate and transactional issues.
Identify and mitigate legal risks while implementing optimal corporate governance practices.
Monitor legal and regulatory trends affecting capital markets and advise in relation to preparation of regulatory reports, responses to inquiries and other regulatory matters. ensuring the company is well-prepared for potential public market activities.
Reporting - This newly created role reports into the Group CLO and forms part of the Group Legal Management team.
Location - Preferred location is Geneva, Switzerland, but can also be London, the United Kingdom.
Candidate profile
Experiences and Qualifications
Experience as a qualified lawyer of at least 10 years, including tenure with a top-tier law firm and in-house roles.
Extensive experience in corporate governance, M&A/transactions and capital markets legal work. Public market experience is a significant advantage.
UK law degree and/or substantial experience with the UK legal environment.
Trackrecord of having worked effectively in a dynamic, fast-paced and multinational environment. and work under time pressure.
Demonstrated strong project management skills, with a focus on cross-functional collaboration.
Native or near-native English speaker.
Demonstrated ability to earn trust and establish credibility with board members and senior leadership.
