A PLC in London seek an Assistant Company Secretary to join them on a full time permanent basis.
The Assistant Co Sec will provide support to the Co Sec and assist with corporate governance services for the business (including subsidiary companies and joint ventures), including leading on routine corporate transactions (including incorporations, director changes etc.) and assisting on complex transactions (restructurings, financing etc.).
Some of the key duties include:
- Review and interpret joint venture documentation
- Liaise with external Company Secretarial agents
- Lead on routine corporate transactions
- Maintain the statutory records via Diligent
- Prepare and file confirmation statements and other statutory returns
- Facilitate the year end accounts process
- Assist the auditors with company secretarial and governance queries
- Facilitate the maintenance of group structure charts
- Maintain and review corporate policies and procedures
- Ensure compliance with the London and Jersey Stock Exchange filing requirements
- Lead on complex and transaction-related AML/KYC requests
- Respond to queries from internal customers and external stakeholders
- Be vigilant to upcoming changes in corporate legislation, governance codes and guidance
- Arrange board meetings, prepare and review papers, collate and circulate packs
- Draft board minutes
We are ideally looking to speak to those with Assistant Co Sec experience from a property, real estate or construction background, alternatively those who have experience of working within a PLC.
This business work in the office 4 days per week, and have an incredibly attractive company benefits package which can be shared.
