Corporate Governance Specialist

At The Rank Group plc, we are seeking a highly skilled and experienced Corporate Governance Specialist to join our team. This is an exciting opportunity to work in a fast-paced and dynamic environment, supporting our critical corporate governance functions.
This role will involve providing expert advice and support on corporate governance matters across the organisation, ensuring compliance and best practices. You will assist in managing the Group's share administration process, liaising with Equiniti and handling employee queries. Additionally, you will help manage the Remuneration Committee, attend and minute meetings, and collaborate with the Group Rewards Director and Finance to ensure vesting requirements are met.
You will work closely with the team to support subsidiary management, including minuting meetings, drafting governance papers, and coordinating with the business on meeting agendas. You will also assist in producing the Group Annual Report, focusing on the Remuneration Committee section, as well as the Interim Report and shareholder circulars.

Key responsibilities include:

Requirements:
- Corporate Governance Institute (formerly ICSA) qualified
- Listed company experience with subsidiary governance expertise in offshore/European jurisdictions
- Experience of working on and leading the Directors' Remuneration Report section of the Annual Report and Accounts
- Diplomatic approach and confidence to provide support to high-profile company staff and board members
