Assistant Company Secretary - Governance Expert

At The Rank Group plc, we are seeking a highly skilled and experienced Corporate Governance Specialist to support our critical corporate governance functions. This is an exciting opportunity to join our dynamic team and contribute to the success of our business.

As a Corporate Governance Specialist, you will provide expert advice and support on corporate governance matters across the organisation, ensuring compliance and best practices. You will assist in managing the Group's share administration process, liaising with Equiniti and handling employee queries. You will also work closely with the Group's EBT provider to meet share award requirements and plan for the year.

This role requires a sound grasp of corporate governance issues, including share schemes such as LTIPs. You will need to be Corporate Governance Institute (formerly ICSA) qualified and have listed company experience with subsidiary governance expertise in offshore/European jurisdictions. Experience of working on and leading the Directors' Remuneration Report section of the Annual Report and Accounts is also essential.

Key Responsibilities:
  • Provide expert advice and support on corporate governance matters across the organisation.
  • Assist in managing the Group's share administration process.
  • Work closely with the Group's EBT provider to meet share award requirements and plan for the year.
  • Support the Remuneration Committee, attend and minute meetings, and collaborate with the Group Rewards Director and Finance to ensure vesting requirements are met.
  • Work with the team to support subsidiary management, including minuting meetings, drafting governance papers, and coordinating with the business on meeting agendas.
  • Assist in producing the Group Annual Report, focusing on the Remuneration Committee section, as well as the Interim Report and shareholder circulars.
  • Help prepare for the Group's annual general meeting and any extraordinary general meetings as required.


Requirements:
  • Corporate Governance Institute (formerly ICSA) qualified.
  • Listed company experience with subsidiary governance expertise in offshore/European jurisdictions.
  • Experience of working on and leading the Directors' Remuneration Report section of the Annual Report and Accounts.
  • A sound grasp of corporate governance issues, including share schemes such as LTIPs.
  • A diplomatic approach and the confidence to provide support to high-profile company staff and board members.
