Corporate Governance Specialist

We are seeking a highly skilled Corporate Governance Specialist to join our team at Experis UK. The successful candidate will be responsible for providing expert Company Secretarial advice and comprehensive administrative Board support.
Key Responsibilities:- Provide expert Company Secretarial advice to support the Group, ensuring an appropriate framework is in place to protect strategic, operational, reputational, and financial risks.
- Maintain records for all Group companies on Blueprint software.
- Ensure statutory forms and returns for all Group subsidiary companies in the UK are prepared and filed promptly at Companies House.
- Assist the Group Finance department with the preparation, approval, and filing of annual accounts for all UK subsidiary companies and for overseas companies, as necessary.
- Support and assist with statutory compliance for overseas entities within the Group.
- Responsibility for set-up and maintenance of the Insider and Confidential/Project information lists, ensuring the Group's Share Dealing Code is up to date.
- Liaise with Reward, EQ, and the Employee Benefit Trust trustees and assist with awards made to participants in the client's Incentive Scheme, award vestings, and ongoing administration.
The ideal candidate will be proactive, flexible, and able to work effectively under pressure. An ICSA Certificate in Employee Share Plans or practical experience of dealing with employee share plans is desirable.
