About the Role:

An exciting opportunity has arisen for a junior to mid-level debt capital markets (DCM) lawyer to join a prestigious and market-leading corporate and finance practice in London. This role offers exposure to some of the most complex and high-profile DCM transactions globally, working with a diverse and elite client base.

Key Responsibilities:

  • Advising clients on a broad range of DCM matters, including investment-grade bonds, structured debt instruments, high-yield bonds, and regulatory capital issues.
  • Drafting and negotiating key transaction documents, such as offering circulars, programme documentation, terms and conditions, and legal opinions.
  • Assisting on liability management exercises, including consent solicitations, tender offers, and exchange offers.
  • Providing advice on market regulations and compliance, including UK Prospectus Regulation, listing requirements, and relevant regulatory considerations.
  • Managing relationships with key clients, investment banks, and underwriters, delivering clear, commercially focused advice.
  • Working on both domestic and cross-border transactions, often involving complex, multi-jurisdictional elements.
  • Supporting business development efforts, such as preparing client pitches, training sessions, and thought leadership initiatives.
