About the Role:
We are seeking a highly organized and detail-oriented Company Secretarial Assistant to join our team at Senior plc. As a key member of our Company Secretariat, you will provide administrative support to the Group Company Secretary and Assistant Company Secretary in the efficient administration of our Company Secretarial Department.
Key Responsibilities:
- Maintain statutory records and related information in manual systems and on Diligent Entities (formerly Blueprint OneWorld).
- Company statutory administration, including timely and accurate submission of Companies House filings.
- Support preparation of Board and Committee Meetings, including PLC and subsidiary companies.
- Assist with co-ordination of ad hoc meetings, including drafting of resolutions.
Shareholder Administration:
- Liaise with the Company's Registrars, on such matters as share issues, transfers, dividends etc. and their attendance at the AGM.
- Prepare for and administration of General Meetings of shareholders, including event management.
- Support the development and production of the Company's Annual and Interim reporting, including working with designers/printers, auditors and solicitors.
- Assist with maintaining the corporate website.
Share Plan Administration:
- Assist with the effective administration of the Group's executive share-based awards and Sharesave Plan. Liaison with the Group's external share plan administrator and the off-shore Employee Benefit Trust.
Property, Insurance and Pensions Administration:
- Assist with the annual renewal of the Group's world-wide insurance programme.
- Assist with various pensions matters and working with the UK pension plan administrators, fund managers and advisers.
- Maintain the Group's Property register.
Corporate Governance:
- Stay abreast of legal, regulatory and corporate governance developments to help the Group to remain compliant.
- Maintain the Company's Insider Lists.
Banking and Treasure:
- Provide ad hoc support to the Group's Tax and Treasury Departments on various matters, including updating bank mandates, and groupwide projects.
Requirements:
- A degree appropriate to the type of work to be undertaken is preferable.
- Completed or working towards completion of the professional examinations of the Chartered Governance Institute.
- Previous experience of working in a listed-company environment would be advantageous, but not essential.
- Proficient user of Microsoft Office packages.
- Working knowledge of Diligent Boards and Diligent Entities (formerly Blueprint OneWorld) would be useful, but not essential (full training will be provided).
- Reliable, conscientious and the ability to observe strict confidentiality.
- The personality and flexibility to operate successfully in a small office environment, and to work with employees throughout the organisation including the Chairman and Group Chief Executive.
- Willingness to learn and to take on new responsibilities and tasks.
- Computer literate. Accuracy and numeracy are essential; the individual must be comfortable working with numbers.
- Good grammatical skills.
- Ability to work under pressure and to strict deadlines.
- A 'hands-on, get the job done' approach to work.
