Job Description

We are seeking an experienced Corporate Governance Professional to join our team as Company Secretary to the Board and Group Entities. This role will provide critical support to our Board and Committee meetings, ensuring seamless execution of corporate governance processes and compliance with regulatory requirements.

The ideal candidate will have at least 8 years of experience as a Company Secretary or Deputy Company Secretary within a regulated environment, preferably in the Financial Services sector. They should possess strong knowledge of corporate governance principles, regulations, and best practices, with proficiency in using Diligent Boards and Diligent Entities.

The successful candidate will be responsible for:

  • Maintaining accurate records of Board and Committee proceedings, including minutes and action items.
  • Coordinating Board training programs and director induction initiatives.
  • Facilitating Board evaluation processes and maintaining conflicts of interest registers.
  • Providing strategic guidance on corporate governance matters and ensuring compliance with regulatory requirements.

Required Skills and Qualifications

  • ACIS/FCIS (ACG/FCG) qualification.
  • Strong knowledge of corporate governance principles and regulations.
  • Experience working with Diligent Boards and Diligent Entities.
  • Excellent communication and interpersonal skills.
  • Able to work independently with minimal supervision.

Estimated Salary: $120,000 - $150,000 per annum
