We are seeking a seasoned legal professional to join our team at Onclusive as a Senior Legal Counsel. This role will be responsible for reviewing and drafting commercial agreements, as well as assisting the legal team with various tasks and projects.

The ideal candidate will have a strong attention to detail and a solid understanding of corporate legal departments and the contract life cycle.

  • Review, revise, draft, and negotiate client, partner, and vendor contracts and data processing agreements, with a focus on cloud services and SaaS, under the oversight of the Global General Counsel.
  • Maintain databases and spreadsheets related to contracts and statements of work.
  • Prepare training materials, playbooks, and guidance documents for commercial teams.
  • Participate in internal and external compliance audits, including vendor due diligence documentation and questionnaires.
  • Assist with special projects as needed.
  • Provide and assist in providing legal training and presentations across the business.

While a European language is a nice to have, it is not essential. However, the candidate should have demonstrated skills in vendor management, contract drafting, and negotiation, with experience in software, cloud services, and data licensing being a plus.

The successful candidate will have a strong understanding of commercial agreements, terms, and legal requirements, as well as excellent planning, prioritizing, and organizational skills. They will be able to draft and/or edit legal commercial agreements, analyze and interpret complex documents, and recognize legal, compliance, and litigation exposures.
