LEAD COUNSEL (M&A) - PERMANENT - HYBRID

  • Qualified Solicitor in the UK or Dual Qualification
  • At least 8 years of Post-Qualification Experience (PQE)
  • Proficient in handling Complex Commercial Transactions
  • Expertise in M&A Restructuring, Corporate Governance, and Compliance
  • Familiarity with M&A Transaction Documentation (including distinctions between share and business sale agreements, put and call options, transitional services agreements, service contracts, site transfer agreements, ancillary documents, contract novations, and IP assignment documents) to facilitate thorough reviews and identify common issues such as warranty claims, completion accounts, trust arrangements, indemnities, and liabilities, particularly post-completion and during the integration of businesses.
  • Comprehension of due diligence processes and the ability to contribute effectively to activities managed by external legal advisors.
  • Experience with corporate governance matters, including board and shareholder resolutions, knowledge of relevant company law, and familiarity with various forms of articles of association, shareholder agreements, joint venture agreements, and board/shareholder reserved matters to swiftly recognize pertinent requirements.
  • Understanding of Banking and Inter-Company Financial Arrangements within corporate structures (with a dedicated treasury function available for support, having a grasp of the environment, relevant documentation, and the right inquiries will be advantageous).
  • While not essential, an understanding of clean team arrangements, confidential bidding processes, information memoranda, and engagement letters with external advisors would be beneficial.
