Mundipharma is seeking a highly skilled Commercial Legal Counsel to join our team on a 3 day week basis. As a key member of our legal department, you will provide expert legal advice and support to Mundipharma International Limited and its associated companies.
Key Responsibilities- Corporate Governance and Compliance
- Advise on government and regulatory compliance, including company secretarial activities such as preparation of Board and Shareholder resolutions.
- Support the development and implementation of policies and procedures to ensure compliance with relevant laws and regulations.
- Commercial and Contractual Matters
- Provide legal advice on commercial and contractual matters, including mergers and acquisitions, contract management, and risk management.
- Support the negotiation and drafting of commercial agreements, including intercompany agreements and other transactional documents.
- Company Secretarial and Compliance
- Perform company secretarial tasks, including the preparation and filing of statutory records and the maintenance of company registers.
- Ensure compliance with relevant company law and regulatory requirements.
- Project Management and Collaboration
- Support the management of projects, including due diligence, contract management, and risk management.
- Collaborate with internal stakeholders, including the General Counsel and other senior stakeholders.
- Qualifications and Experience
- Qualified lawyer with a strong background in commercial law and company secretarial practice.
- Proven experience in providing legal advice and support to corporate clients.
