Job Summary

This role is responsible for providing support to front office staff and external fund boards to ensure smooth execution of deals. The position involves coordinating Fund Boards of Directors and numerous internal and external stakeholders, while managing the intricacies of the transaction execution process.

Key Responsibilities
  • Transaction Support: Manage complex documentation and completion, including recap and amendment processes across all private investment funds. Liaise with fund investment structures, restructuring, and tax/structuring teams to ensure compliance and risk management.
  • Comprehensive Support: Provide liaison and support to the Investment team for new deals, refinancing, restructures, and exits.
  • Fund Board Management: Organize, attend, and manage ICG's interaction and involvement with Fund Boards. Provide transaction assistance for fund boards and lead on resolving open matters.
  • Banking and Administration: Work with administrators to ensure all banking facilities are available and ready for use. Manage Luxembourg blocking certificates and notarization processes.
  • Tax and Legal Compliance: Liaise with internal fund tax teams, tax, and legal external counsels to ensure initial deal structures are set up, documented, and handed over successfully.
  • Fund Flow Management: Manage and review funds flow, funding, and initial hedging arrangements with ICG Treasury. Liaise with portfolio companies and ICG advisors.
  • Investment Operations Lead: Provide support to fund controllers, apprise them on current transaction status, and update performance and accounting teams on deal developments.
Fund Life Cycle Matters
  • Working on fund liquidations/terminations.
  • Managing deal mechanics/structure/complexities with the performance and accounting team.
  • Managing LP partner transfers.
Financing, Regulatory, and Tax Compliance
  • Responsibility for asset-level entity and banking arrangements and set up through administrators.
  • Fund structure compliance & adherence; includes managing the arrangements required to ensure strong substance for our funds.
Process Definition and Building a Scalable Function
  • Championing and being a positive advocate of process enhancement and ensuring adequate process documentation and control for your areas of responsibility to an auditable standard.
  • Other ad hoc projects to support the team objectives.
Key Requirements/Qualifications
  • Luxembourg private M&A market required, US experience a plus.
  • Mid/Intermediate level previous experience working in Private Equity/Asset Management role or equivalent.
  • Bachelor's Degree.
  • Tax/Accounting qualifications are a strong plus.
  • European languages are a strong plus.
