**Salary - £80,000 - £85,000About the role** To support the Board and Executive in ensuring Motability is a responsible member of civil society, conscious of current Environmental Social and Governance (ESG) expectations on organisations of Motability's standing, able to maintain its reputation andindependence of action in a complex political/ stakeholder environment including through complying with its legal and regulatory obligations, being well governed in a proactive and highly responsive manner, aware of and taking timely action on relevant developments,and maintaining good relations with internal and external stakeholders.
To co-ordinate holistic oversight of Environmental Social and Governance matters across the organization and be responsible for corporate governance and assurance whilst ensuring effective organisation and arrangements for Board, Committees, Executive Teametc. Effectively acting as the business and information manager and planner for the Board, and to lead administration and support services for the CEO, Directors and Senior Managers including in house legal work and risk, controls and compliance.
**What you'll be doing: Governance - External Stakeholders**:
- Monitor Charity Commission in England and Scotland and other best practice guidance and recommend any necessary changes to Motability's governance.
- Act as the responsible contact person for the Charity Commission England and the Office of the Scottish Charity Register.
- Monitor, with the in-house lawyer, corporate law developments and their applicability to Motability as a corporation incorporated by Royal Charter to ensure Motability is aware of and applies best practice to its affairs.
- Ensure all policies and procedures in relation to Financial Conduct Authority (FCA) registration are maintained to the highest standards. Be the responsible contact person for the Charity with FCA, and responsible person with Companies House in Englandand Wales.
- Ensure a holistic understanding of the law and best practice relating to the protection of and provision of grants and services to vulnerable individuals, developing, proposing and helping implement appropriate improvements.
- Ensure that governance arrangements for partners, providers and other organizations via grant agreements are in order and fit for purpose, including the evidence centre.
- Ensure that ESG matters are reported to best practice standards in the Annual Report and Accounts and co-ordinated with the reporting of Motability Operations in its own Accounts and financing activities (particularly social matters).
- Responsible for the organisation and arrangements for the Annual General Meeting (to which a wide audience is invited).
- Maintain Motability's Contracts Register and undertake quarterly reviews of contracts and suppliers, working with Finance and Compliance to ensure procurement processes and terms of business are fit for purpose and legally compliant.
**Governance - Internal Stakeholders**:
- Responsible for the organisation of and arrangements for quarterly and other Governors' and Board Committees meetings and Motability Internal Governance and Risk Assurance Committee (MIGRAC) meeting (and its feed to Governor meetings).
- Ensure that the agendas and any papers are prepared and circulated to all those required to attend in the most appropriate, secure and efficient method possible.
- Act as secretary at the Board of Governors' Board meetings and committees, MIGRAC and Stakeholders Defined Contributions Pensions Governance Committee: keeping a record of issues discussed and circulating minutes in accordance with agreed deadlines. Ensurethat decisions reserved for the Board, delegated powers and authorities are set out in policy and reviewed in practice. Ensure that agreed actions are tracked to completion.
- Responsible for the induction of new Governors, the register of interests, skills audit and annual assessment against the Charity Governance Code.
- Monitor the Terms of Reference for the Committees and Motability's Executive and Risk Controls and Compliance Teams to ensure they are reviewed regularly and are relevant.
- Sit on Motability Executive Committee, Health and Safety, and working groups as required.
**Social**:
- Ensure that the charitable object of Motability is understood internally and activity abides by it and our Royal Charter and associated Byelaws from a regulatory and legal perspective.
- Working with the CEO and Finance Director, ensure regulators and stakeholders are informed appropriately as to Motability's progress, and work with all Directors and Heads of Department to ensure the Board is supported with the right information, processesand channels of engagement for the pursuit of our Strategic Plan.
**Executive Support**:
- Lead and manage the Executive Support Team in the provision of excellent and proactive support to Governors, CEO, Directors and Senior Managers, on a day-to-day basis.
**Risk, Controls and Compliance**:
- Lead and manage the Risk Controls and Compliance Manager and team. This includes the running of internal audits and the co-ordination of external audits.
**Your experience**: Must haves:
- Company secretarial experience and/or knowledge of regulatory frameworks and roles demanding strong leadership.
- Minimum of 5 years of experience in leading teams, responsible for Governance, compliance, regulation, risk and controls.

- You will be a strong people manager that juggles multiple disciplines, timelines and board requirements.
