The Clerk will be responsible for taking minutes at Trust Board and Local Advisory Body
meetings, advising on governance matters and will work within the broad current legislative
framework. The Clerk will work closely with the Head of Governance, Compliance and Risk and
work effectively with the Executive Leadership Team, Chairs of the Local Advisory Bodies,
Governors and Headteachers.
1. Meetings
The clerk will:
- work effectively with the Headteacher and Chair of the Local Advisory Body (LAB) to prepare a
purposeful agenda.
- Work with and encourage the Headteacher and others to produce agenda papers on time for
distribution.
- produce, collate, and distribute the agenda and papers 7 days ahead of the meeting using Governor
Hub.
- record the attendance of governors at the meeting and take appropriate action re absences.
- advise the LAB on governance legislation and procedural matters as appropriate.
- take notes of the meetings to prepare minutes, including producing an action/resolution table.
- record all decisions accurately.
- advise on conflicts of interest, and how to manage and avoid these.
- challenge the board if concerned about non-compliance or the conduct of meetings.
- escalate concerns where necessary to the Head of Governance, Compliance and Risk.
2. Membership
The clerk will:
- maintain an up-to-date record of the central database of names, addresses and category of
governing board members and their term of office.
- advise on any upcoming expiry of the term of office before term expires so elections or
appointments can be organised in a timely manner.
- ensure due diligence of membership is carried out and records are maintained.
3. Advice and Information
The clerk will:
- advise the governing board on procedural issues in line with the Trust’s Scheme of Delegation &
support the chair in identifying priorities and upcoming issues when planning meetings.
- keep the board informed about training and development opportunities.
- help the board to create a culture in which challenge is welcomed.
- support the board when conducting evaluation exercises.
4. Professional Development
The clerk will:
- attend relevant training and participate in professional development opportunities.
- To keep abreast of all relevant educational legislation and Best Practice in the governance of
- keep up to date with current educational developments and legislation affecting academy trust
governance.
5. Additional Tasks
The clerk may be asked to perform as part of their duties any of the following.
- give advice on the elections of parent and staff governors.
- give advice and support to governors as part of the induction process.
- participate in, and contribute to the training of governors as appropriate.
- advise on the requisite content of the school website and produce relevant information for the
website in a timely manner.
6. Other requirements
- Have the flexibility to accommodate the working hours which will vary according to the calendar of
meeting dates. Be able to attend evening meetings and early morning meetings.
- Be able to travel to meetings (our schools are based in Bromley with one school in Kent).
- Be able to work flexibly and effectively.
