ODI has a wholly-owned trading subsidiary, ODI Global Advisory Ltd (ODI GA), which functions as its consulting arm. It helps ODI to further its strategy and achieve its vision by serving as an alternative corporate mechanism for generating funds for the parent charity. ODI GA provides advisory, convening, policy and research products and services to clients with an interest in the strategic geographies in which we work. The turnover of ODI GA in the 2021-22 financial year was £6 million. This is expected to increase as the company develops its products and services to provide expertise to a broader range of partners.

**INDEPENDENT BOARD MEMBER**
ODI GA Ltd is looking to appoint individual(s) to serve as Independent Members of its Board; one of which may transition, after an appropriate induction period, to serve as the Chair of the Board.

This individual will support the Senior Leadership Team and Director of Global Advisory in steering the organisation and setting a new course for ODI GA, building on the research, think pieces and global convening. As a member of the Board of Directors you will have an important role in protecting ODI’s reputation and ensuring ODI is carrying out its charitable purpose.

Please note that this is a voluntary, unremunerated position, although reasonable travel

expenses will be reimbursed.

This is a specialised role with a remit to ensure that ODI GA operates in a manner that is supportive of the parent charity but also acts in its own best interests.

**KEY RESPONSIBILITIES**
- Advisory to establish a commercial business operating model and set the strategic direction for ODI’s advisory services, including expanding it into new markets and broadening ODI’s roster of partners and contractors by reach of their own networks;
- Ensure ODI GA’s financial and operational viability by approving and reviewing budgets, accounts, financial statements and financial reports. In consultation with ODI SLT and Director of Global Advisory, advise on targets and monitor performance;
- Act in ODI GA’s best interests to ensure that the company complies with its Articles of Association, UK Company Law and any other relevant legislation or regulation. This includes safeguarding ODI GA’s assets, values and reputation and ensuring an effective management of risks and internal controls;
- Contribute to the development and maintenance of an organisational culture which aligns with the parent charity’s values and Code of Conduct, also ensuring we maintain the highest safeguarding standards in line with legislation and statutory guidance;
- Ensure that the relationship with ODI charity is appropriately managed and that decisions of ODI GA are taken in the best interests of the company. Whilst the Independent Members will not be members of the parent ODI Board, participation in some ODI Board meetings and events may be required;
- Where appropriate, represent ODI GA at key external events, support fundraising and development, and promote the company within personal and professional networks;
- Attend relevant internal events and engage with staff across ODI and ODI GA. Directors should reflect at all times a commitment to ODI’s strategic ambitions, values, decolonisation agenda, policies and procedures;
- Help shape the long-term responsibilities and productivity of the Board.

Person specification:
It is essential that Directors are engaged in, and motivated by, the work and mission of ODI and, by extension, ODI GA. We are seeking Independent Members with the following characteristics:

- A proven entrepreneurial mentality with the ability to scrutinise commercial and business development strategies and exercise sound independent judgement, ideally with exposure to the consultancy sector;
- An understanding of global affairs and ODI’s external environment, ideally with experience working with multiple partners in global geographies (
