**Job summary**:
You will be part of a small team of Governance officers who play a key role in helping to fulfil the Chairman and Chief Executive’s vision:

- We will be recognised for excellence in the services that we provide using a range of skills and corporate knowledge. We will support the board and senior leaders to deliver the board’s strategy and will provide leadership in achieving he highest standards of corporate governance. We will be innovative, forward thinking, reliable, visible and approachable._

You will also ensure that board, committees, Strategic Leadership Team and its operational groups are appropriately managed and that quality papers are commissioned and provided on time.

You will need to be flexible whilst working in a busy, high pressured, fast-paced environment. You will be a critical point of contact crucially responsible for supporting the board and senior leaders to ensure that the governance frameworks are adhered to.

**Job description**:
Governance Officers support leaders by providing a service whereby:

- They will deliver an exemplar secretariat function for all corporate and executive meetings. There is a need to think strategically to ensure that all of the groups are managed and delivered effectively operating in line with the board agreed governance framework.
- Ensure that board, committees, Strategic Leadership Team and its operational groups are appropriately managed and that quality papers are commissioned and provided on time.
- Support the maintenance of a governance framework that equips the DBS to achieve its vision and is consistent with the highest standards of corporate governance.
- Through the relevant private secretary, ensure that the Chairman, the Chief Executive and board members are briefed, have relevant information on matters about the meetings and necessary logistics are managed.
- Arrange board and committee meetings supporting chairs and the Board Secretary in drafting and planning agendas and co-ordinating attendance at the meeting.
- Ensure that all meetings operate in line with the governance framework and provide the secretariat function for them.
- Book external board meeting facilities.
- Drafting governance papers.
- Handle a wide range of complex information sensitively.
- Consider problems in a measured way to ensure solution.
- Give sound governance advice to inform critical decisions.
- Co-ordinate work to manage priorities and meet deadlines.
- Deliver improved business outcomes by working with key stakeholders across DBS.
- Build and sustain effective working relationships with external stakeholders.
- Communicate key decisions accurately and timely.

Corporate Duties Include:

- Responsibility for liaising with internal and external stakeholders in the delivery of their work.
- Support the Governance Manager to set clear direction, processes, and priorities to ensure we continue to deliver a high quality and tailored secretariat service to board and senior leaders as appropriate.
- Support managing the onboarding of new board members, associate board members, board apprentices and co-optees ensuring a full induction pack is compiled in line with an agreed induction plan to maximise learning and understanding
- Prioritisation and forward look - maintain the forward looks for the meetings you will oversee.
- Governance changes - support the governance manager in taking forward changes to strengthen DBS governance.
- Secretariat for corporate and executive meetings to deliver a high-quality secretariat service, taking minutes, recording actions, drafting agendas, ensuring papers are accurate, robust processes are in place and key stakeholders are engaged.
- Reviewing the meeting structures and looking to maximise the use of time.
- Provide support to periodically reviewing the wider governance arrangements across DBS.
- Setting and maintaining clear team information and processes.
- I-manager role for maintaining and updating Governance libraries within SharePoint.
- Content manager role for maintaining and updating Governance pages on Chair & Chief Executive’s intranet site.

**Important**:
Work can be done remotely but the post holder will have a contracted base of Liverpool or Darlington. The post holder will be required to attend their contracted office in accordance with the needs of the organisation.
