**What you will do**

You will assist the Group Company Secretary and Senior Assistant Company Secretary in the running of the Company Secretariat department to promote and help implement high standards of governance across the STB Group. The position offers a broad remit of work which includes governance projects, share plans and PLC Board Committee exposure. This role will be highly visible to the Board and Senior stakeholders within the business.

**Key Responsibilities**

**Board and Committees**
- Act as secretary to the Risk Committee, to include:

- Prepare agendas for the Risk Committee meetings, including maintaining forward agendas and ensuring all necessary items are considered.
- Act as main point of contact for queries from the Chairmen of the Risk Committee, as well as other key stakeholders within the business.
- Attendance and minuting of committee meetings (mainly Risk Committees but may be others from time to time).
- Oversee the collation and distribution of Committee papers.
- Draft papers on behalf of the Department for inclusion into Board and Committee papers.
- Act as secretary to subsidiary companies, including the Group’s regulated subsidiary entity, with support from the Senior Assistant Company Secretary.
- Assist with completion of necessary filings with Companies House, FCA & NSM. Act as secretary to subsidiary companies, including the Group’s regulated subsidiary entity, with support from the Senior Assistant Company Secretary.
- **Team**
- Support the Company Secretary and Senior Assistant Company Secretary as required. Review and ensure that team procedures and processes remain current and develop new procedures when appropriate.
- **Other**
- Assist in the drafting specific sections of the Annual Report & Accounts as requested.
- Work with Finance and other stakeholders to help prepare and approve accounts for subsidiary entities across the Group.
- Support the Senior Assistant Company Secretary in the organisation of the AGM, including preparation of initial drafts of the AGM Notice and ancillary documentation.
- Draft standard RNS announcements and assist with the drafting/review of ad hoc announcements as required.
- Assist the Senior Assistant Company Secretary with day-to-day management of the Company’s share schemes, including the processing of exercises, preparation of grant, vesting and SAYE invitation communications across all plans.
- Administer the Group’s share scheme management system.
- Liaise with the Group’s Registrar as and when required including shareholder mailings, dividend payments, AGM etc.
- Assist with Director on-boarding and inductions where required.
- Assist and contribute to Group wide projects on behalf of the department as needed.

**What you will bring**
- Company secretariat experience within Listed organisation and ideally Financial Services experience.
- Previous experience minuting Board/Committee meetings at Group level and be comfortable working with senior Board members as well as other senior key stakeholders.
- Good working knowledge of Companies Act and Listing requirements.
- Familiarity with Board Intelligence/Sharetrack/Insidertrack.
