Corporate Governance and Company Secretarial Manager

An exciting role within a leading award-winning business; newly created to develop and build a corporate governance framework. Due to several years of significant growth, you will play a critical role in helping the business to successfully shape the internalgovernance role as well as overseeing the strategy of expanding the corporate secretarial and regulatory service offering to external clients.
**Core responsibilities of the role**:
- Coordinating the preparation of board packs for monthly UK meetings, attendance at the meetings and minute taking.
- Providing advice to stakeholders in general meetings and otherwise on matters of a governance nature.
- Organisation of, attendance at and minute taking for various other meetings arising from internal governance
- PR / Media / Crisis Management key contact (for UK and overseas offices on an as needs basis).
- Attendance at weekly Management Team meetings.
- Arranging insurance contracts for property, travel, key man,
- Coordination of pension trustees and pension advisors in relation to the business’ legacy pension scheme.
- Consulting with the client facing company secretarial team on technical matters as they arise, in conjunction as necessary with external advice.
- In addition, there will be responsibilities associated with the business’ overseas network to include co ordinating preparation of agenda and board packs for Annual International Conference.
**About You**:
- You will ideally be a qualified chartered secretary / chartered governance professional and member of the relevant institute (ACIS / ACGP)
- You will have experience of providing corporate secretarial and governance support and have likely obtained this experience in a professional services environment or the corporate secretarial function of a business in the services sector.
- You will be experienced and confident in dealing with the senior management within a business and have an appreciation of, and sensitivity to, boardroom dynamics.
- Experience of working in or dealing with the international financial centres and UK overseas territories would be beneficial but not essential.
