To support the group company secretariat function with the governance programme and secretariat function across the group and in developing a culture of continuous improvement and best practice consistent with a high performing organisation in line with the 2026 business strategy. Leads at engine level the governance programme and secretariat function supporting the engine boards CEOs and BUD's in embedding an effective governance and compliance framework.

You'll be responsible for:

  • Manages the delivery of the full range of corporate secretarial support across the engines with limited supervision whilst ensuring that issues are promptly escalated to the Company Secretary.
  • Ensuring we maintain high standards of corporate governance and compliance in accordance with statutory requirements, including the maintenance of the company books and records for the entities.
  • Supporting the embedment of the Mace Governance Framework and timely operation of the engine boards and related committee meetings.
  • Ensuring best practice in meeting statutory requirements, maintaining corporate records and Companies House filings.
  • The identification, assessment, and implementation of regulatory and legislative changes specifically those associated with corporate and compliance matters.
  • Attend, participate, and minute sub board and or committee meetings when required and ensuring these boards function efficiently and effectively.
  • Managing the registration and closure of all corporate entities, including the completion of the due diligence checklist in relation to any closures.
  • Assist with the UK consolidated audit in relation to intercompany lending, board minutes, Directors related parties, bank accounts authority letters and any other matters that may arise.
  • Where it is with your control ensure the statutory financial statements are filed on time for all UK subsidiary companies and the international construction companies.
  • To reach out to third party advisors such for local country advice when necessary.

You'll need to have:

  • 2-3 years relevant experience.
  • Chartered Governance Institute (previously ICSA) or equivalent qualification.
  • Good grasp of the UK Corporate Governance Code.
  • Commercial and strategic mindset.
  • Good grasp of company secretarial and corporate governance issues in the UK and internationally.
  • Good grasp of the Companies Act.
  • Company secretarial experience including subsidiaries in different jurisdictions.
  • Qualification from the Chartered Governance Institute UK and Ireland (or equivalent).
  • Guides, coaches, upskills, directs, and develops junior team members in more established secretariat and compliance roles.
  • Is adept at managing multiple priorities and stakeholders and solves complex problems utilising professional expertise.
  • Attention to detail.
  • Ability to prioritise and work well under pressure.
  • Team working skills.
  • Integrity and discretion.

You'll also have:

  • Good grasp of Wates and other key UK corporate governance codes.
  • LLB Bachelor of Laws degree (or equivalent).
  • Attending and recording board and committee meetings.
  • Previous experience with Diligent software or equivalent.
  • Able to be a guide to the engine boards in good governance according to regulation and the Company's governance framework.
