Reporting directly to the UK Company Secretary, you will hold a broad and diverse remit across core Bank Of Ireland UK Company Secretarial work, including end to end board committees support, subsidiary governance, onboarding of new executive and non-executive directors, reviewing and providing input into the governance sections of the annual statutory and regulatory reporting and diverse ad-hoc project work.

In this role you will:
  • Supporting the UK Company Secretary and Deputy Company Secretary in delivering high standard governance and secretariat services to the Board and Board Committees.
  • Procuring and reviewing the content of Board and Committee papers for clarity and completeness and responding to information requests from Directors;
  • Attending and minuting designated Committees meetings and following up on specific actions arising;
  • Ensuring timely completion of statutory filings as well as maintenance and timely update of statutory records and registers;
  • Keeping up-to-date with legal and governance developments and practices, and providing advice to colleagues on their responsibilities and the implications for them of any changes which arise
What will make you stand out
  • Seasoned experience working in a company secretarial capacity, ideally in financial services.
  • Experience of attending board/committee meetings and producing high quality minutes.
  • Excellent communication skills with a focus on accuracy and attention to detail.
  • Strong organisational skills with the ability to complete tight timeframes.
  • The ability to interact at a senior level in a confident manner, challenging where vital.
  • Currently undertaking (or willing to undertake) the CGI Qualifying Programme.

The UK Company Secretarial team provides a full range of company secretarial compliance and advisory services to the Bank of Ireland (UK) Plc and its subsidiaries. The team is responsible for providing company secretarial and governance support to the UK Board of Directors and Board Committees, including organising, attending and minuting board and committee meetings, as well as maintaining statutory records and ensuring that relevant documents are filed with Companies House within statutory deadlines.
