How you will create an impact

Based in London, under the supervision of the Head of Corporate Legal & Governance EMEA & UK and with the assistance of two assistant company secretaries, you will be responsible for the management of multiple boards in the UK and will assist in respect of the European boards as required, with the primary focus being on the boards and committees of American International Group UK Limited and Talbot Underwriting Limited, two regulated entities.

This role involves dealing with people at all levels within the business, including senior management and the Board, which is comprised of executive and independent non-executive directors.  The role is wide-ranging and pivotal in ensuring the smooth functioning of the governance of the regulated entities and their subsidiaries. 

Some of the key responsibilities include:

  • Act as Company Secretary for the companies listed above and the smaller non-regulated subsidiaries in the UK, and to assist in respect of the European entities as required, all subject to the policies, procedures and protocols established by the AIG Governance Center of Expertise
  • Liaise with the AIG Governance Center of Expertise and ensure close collaboration and coordination with the Center
  • Oversee reporting to the Boards and its committees and brief the chairman and the independent directors as necessary to ensure that efficient decision-making takes place
  • Draft and circulate board resolutions
  • Carry out the annual Boards and Committees effectiveness review and report the results to the Boards
  • Manage the Boards and Committees meeting timetabling and agendas
  • Ensure the production of timely and appropriate minutes of the relevant Board and Committee meetings
  • Manage the Board nominations processes, as required
  • Oversee and manage induction of new Board members, including tailored training program
  • Explore and implement agreed strategies for improving the efficiency and productivity of the regulated entities Board and Committee operation, which may include implementing new technology solutions
  • Maintain and update signing/banking authorities, as required
  • Support requests for company documents internally (e.g., licensing, tenders, POAs) and externally (e.g., compliance, KYC)
  • Maintain all company records

What you’ll need to succeed

  • Demonstrable experience in a company secretarial role within Financial Services (at least 5 years)
  • ICSA Chartered Secretary ACIS qualified or equivalent
  • Minute taking and resolutions drafting experience with regulated entities at board level
  • Diligent Entities experience (or equivalent company secretariat tool)
  • Knowledge of UK governance regulation
  • Some exposure to the Lloyd’s of London environment preferable
  • Excellent communications skills and the ability to communicate with staff and directors at all levels within the organization
  • Excellent writing skills and attention to detail
