Role Purpose
To assist the Secretary team, ensuring that Company Secretariat matters are run efficiently and smoothly, and that appropriate legal and statutory compliance is maintained for the Company and its subsidiaries at all times.
What you will be doing
Involvement in ad-hoc Legal, Secretariat projects and regulatory research. Assist with maintaining the statutory registers and regulatory filings of the Group and its subsidiaries (both within the UK and overseas). Assist with compiling documentation for commercial tenders. Supporting with the preparation for and arrangement of subsidiary AGMs and board meetings. Drafting quasi-legal documentation such as shareholder resolutions, board minutes, powers of attorney and other standard documentation routinely required by the Legal and Secretariat teams. Assist with and help maintain the internal Secretariat & Legal departmental system records together with general administration matters. Liaise with external service providers such as notary publics and registered agents, on a global basis.Would you like to see more detail on the accountabilities of the role? What we are looking for
Well organised with excellent attention to detail and the ability to create and maintain good working relationships with people all levels within or outside the Group. Focused and adaptable with excellent communication skills, both verbal and written. Keen to pursue a Company Secretariat career, including working towards obtaining a professional governance qualification. Be able to work well under pressure, prioritise effectively and meet deadlines. Be professional and approachable with a “can-do” attitude to interact successfully with Directors/senior management/colleagues/external suppliers. Be self-motivated, as well as a strong team player. Good understanding of Microsoft Office packages (particularly Word, Excel and PowerPoint). Have integrity and high ethical standards, always acting with discretion.Diversity
