Key Responsibilities

managing and developing a team responsible for the end-to-end corporate governance relating to a number of legal entities to ensure compliance with internal governance processes, as well as statutory and regulatory requirements. acting as company secretary to boards and providing end-to-end corporate governance support to the chair, directors and executive management. supporting the Head of Entity Governance in providing excellent core corporate governance knowledge and skills across the suite of secretariat activities. supporting in the development, review and practical implementation of technical governance and operational processes as relevant to the delivery of board governance. driving efficiency, innovation and continuous improvement, including through use of technology, in the delivery of governance and operations to support board governance. working with colleagues across the wider Legal and Secretariat function on ad hoc/special projects.

The role reports to the Head of Entity Governance.

Knowledge and Experience / Qualifications

Qualified company secretary (ACIS or equivalent) or lawyer with significant post qualification experience as a governance professional Experience of acting as a board company secretary, including significant minuting experience Detailed knowledge of the Companies Act 2006 Senior company secretarial experience in a FTSE 100 listed company, preferably in the financial services industry Excellent interpersonal skills with ability to build good team relationships; and Confident and credible communicator
