This is an exciting and unusual opportunity for a capable and ambitious in-house commercial lawyer to operate at a senior level within Brand Addition, whist also obtaining exposure to Board and Committee support, Risk and Compliance matters and Corporate Governance work for The Pebble Group plc.
Based in Manchester, the primary responsibility of the Head of Legal will be to function as the lead point of contact for all legal support for the Brand Addition business internationally. The vast majority of legal work will comprise commercial contracts and data protection matters, but the Head of Legal is expected to be willing and keen to expand their knowledge and skillset to become a well-rounded in-house generalist.
The Head of Legal will need to be confident and able to work autonomously. However, they will receive guidance from the Group General Counsel and Company Secretary as well as access to leading insight and knowledge tools such as Thomson Reuters’ Practical Law and access to external counsel where necessary.
The Head of Legal will also function as a key support for the Group General Counsel and Company Secretary in assisting with Board and Committee support, Risk and Compliance matters and Corporate Governance.
This is a hybrid-working role, with 3 days in the office per week required (split between the Brand Addition office in Trafford and The Pebble Group office in Didsbury).
**Key Responsibilities**:
Brand Addition - Commercial and General
- Reviewing, drafting and negotiating a wide range of commercial contracts with customers, suppliers, Global Alliance Partners and others.
- Developing and maintaining key commercial contract templates.
- Monitoring, reviewing and (where necessary) implementing efficient and agile processes for review, negotiation, execution and management of commercial contracts.
- Managing legal disputes with suppliers, customers or other third parties to ensure the best outcome for Brand Addition.
- Researching and responding to general legal enquiries from internal clients.
- Assisting with the delivery of training on commercial legal topics to non-legal colleagues and teams.
Brand Addition - Data Protection
- Monitoring compliance with UK, EU and international data protection legislation and best practice.
- Maintaining Brand Addition’s data governance framework, including maintenance of its Register of Data Processing Activities.
- Reviewing, drafting, revising and leading negotiation on data related agreements, such as data processing agreements or data sharing agreements.
- Responding to data protection breaches, queries, complaints or requests.
- Assisting with the delivery of data protection training to non-legal colleagues and teams.
The Pebble Group plc - Board & Committee, Risk & Compliance and Corporate Governance
- Assisting the Group General Counsel and Company Secretary with:
- Providing Secretariat services to the Group’s Boards & Committees and the Executive Leadership Team (including preparing agendas, coordinating the production of Board papers, minutes, and records).
- Maintaining Risk Management and Corporate Governance arrangements are in place across the Group.
- Drafting and co-ordination of the Group’s annual report.
**Essential Skills and Experience Required**:
- Post-qualification commercial legal experience as in-house legal counsel.
- Demonstrable ability and experience in reviewing, drafting, revising a range of commercial contracts.
- Excellent negotiation skills and experience of leading negotiations.
- Experience and good working knowledge of GDPR and Data Protection law and regulation, and awareness of information security requirements.
- Excellent communication, organisation, and analytical skills.
