The role
As part of the structural reforms being undertaken by the NHS, we are preparing to make significant changes to the way we work as a strategic commissioner and system leader of health and care services across Kent and Medway. As such, we are seeking a highly experienced and dynamic Company Secretary to lead our corporate governance function and help us reset, reform and transform the way we work. This is a pivotal role that will support the Chair, Chief Executive and the Board in ensuring the ICB continues to operate with integrity, transparency, and accountability.
You will be responsible for developing and maintaining robust governance and internal control frameworks, overseeing Board and Committee operations, managing legal and constitutional matters, and advising on risk and assurance. As a senior leader, you will champion good governance across the ICB and wider Integrated Care System.

**Responsibilities**:
Provide expert governance advice to the Chair, CEO, and Board
Ensure compliance with statutory, legal, and regulatory requirements
Lead the development and maintenance of the Board Assurance Framework and Corporate Risk Register
Manage the corporate governance team and oversee Board and Committee administration
Maintain and review the ICB’s constitution, standing orders, and governance policies
Oversee the production of the Annual Report and organisation of the Annual General Meeting
Represent the ICB in high-level stakeholder engagements and policy forums
About You
You will possess the following skills, knowledge and experience:
Educated to master’s level or equivalent experience in a relevant area
Extensive senior governance experience in complex organisations, ideally within the NHS
Proven leadership in embedding governance culture and managing change
Excellent communication, influencing, and conflict resolution skills
Deep understanding of NHS governance and regulatory frameworks
