We have an incredible opportunity to join us here at Phoenix Group as an Senior Company Secretariat Assistant to join our Company Secretarial function. **The role**

Key responsibilities:

- Support with the execution of governance processes for the Group’s entities, including reviewing those processes as part of the General Counsel continuous improvement agenda.
- Maintain accurate statutory registers, including via an entity management system and undertaking reconciliations of information as required.
- Liaise with overseas representatives to ensure that information held about overseas entities is accurate.
- Support with statutory and regulatory filing (including overseas filing for Hong Kong and Irish branches), including filing of statutory accounts, close links, confirmation statements, director appointments/resignations and other information as required.
- Assist with ensuring that the Group’s entities comply with relevant statutory obligations and codes of governance
- Liaise with the Group’s Finance Team to assess the status of the Group’s entities in respect of section 172 and governance code requirements.
- Manage the statutory accounts approval process for the Group’s subsidiaries, including production of dormant accounts and seeking approval for audit exemptions as required.
- Support with governance queries from the business and others within Company Secretariat, drafting papers, written resolutions and briefing notes as required (with assistance from Governance and Board Support Team members).
- Manage KYC requests alongside another Senior Company Secretarial Assistant,
- Support the onboarding process for directors of subsidiary entities.
- Contribute to quarterly Management Responsibility Maps required under the Senior Managers and Certification Regime, including the production of structure charts using Visio.
