AWE plc (AWE) is recruiting for an Assistant Company Secretary to operate and enhance a best-practice based secretarial function and associated governance framework to ensure demonstrable, effective decision-making at corporate level.

Working within the Legal and Company Secretariat team, you will be accountable for working with the General Counsel and Company Secretary, Executive Directors, and Chairs of the Board/Committees on the effective planning, conduct and post-meeting activityfor AWE's Board and Committee meetings.

You will provide support to AWE's Board and Committee meetings including: forward planners, working with management to set the agendas, ensuring the timely publication of high quality material to Diligent, producing high quality minutes, and tracking actionsarising to completion.

Additional accountabilities include ensuring Corporate Governance policies, procedures are appropriately documented, performed, maintained, and communicated.

To be considered for this role, you will either have company secretary qualifications or have significant experience in a secretarial function, as well as possess the capability to identify requirements and propose solutions with limited direction, and whichreconcile the need for rigorous governance with the requirement for pace and agility. Previous experience in a public sector entity would be helpful.

Key Accountabilities:

- Ensure the formalities associated with AWE's Board and other Committee meetings are met. Attend meetings and prepare minutes.
- Take ownership for developing, maintaining, and managing working relationships with a diverse and large group of internal and external stakeholders, particularly in relation to the actions arising, and future content, of AWE's Board and other Committeemeetings.
- Drive efficiencies and best practice into the operation of the Company Secretariat team's processes.
- Take a proactive approach to the Board/Committee annual rhythm.
- Act as a point of contact for Non-Executive Directors and Executive Directors.
- Assist the statutory compliance of the Company and ensure statutory filings are completed.
- Take responsibility for investigating gaps in Corporate Governance process/performance and engaging the appropriate stakeholder group(s) to agree and implement appropriate process improvement.
- Be responsible for ensuring understanding of responsibilities and demonstrate appropriate behaviours in line with the Company's environmental, health, safety, security, quality, and ethics standards.
- Undertake ad hoc duties as reasonably required.
- Exceptional communication skills with the ability to work in a fast paced and demanding environment are a pre-requisite, as is the confidence to work with senior stakeholders.
