OverviewReporting to the Senior Contracts Manager EMEA, this position will give you responsibility (alongside one other EMEA Commercial Contracts Manager) for supporting the drafting, negotiation, execution and filing of a wide range of commercial and international government contracts. There will be a particular focus on managing and updating the network of distribution and other sales/service channel agreements across the region, as well as involvement in purchasing and other operational contracts as well as supporting the Bids and Proposals team in managing direct sales. The candidate will work independently, with limited guidance, and interact regularly with senior and executive management on matters concerning several functional areas, divisions, and/or customers and therefore must be able to communicate effectively.The role requires that you apply best practice and integrity to ensure that key issues in contracts are identified and contracts are properly approved and executed. You will work closely with the OSI Group Legal Department and will have ample opportunity to get involved in other areas of contracts and legal work depending on interest and aptitude.This role would be based in the UK, reporting into one of the Company’s UK sites.ResponsibilitiesWorking closely with other members of the Contracts Department as well as the Law Department, you will:Administer, on a daily basis, complex commercial and international government contracts including, but not limited to, supply agreements, framework agreements, non-disclosure agreements, teaming agreements, consultant agreements, and anti-corruption and compliance agreements;Analyse contractual requirements, special provisions, terms and conditions to ensure compliance with appropriate laws, regulations, and Company policies and procedures, as well as to proactively identify and manage any contractual risks for the Company;Prepare sales and service channel agreements, such as distribution agreements, resale agreements, and authorised service provider agreements, in accordance with Company policies and procedures;Support the Bids and Proposals team by providing contract analysis and review of solicitations, bids, and tenders and, further, preparing ancillary legal documents for submission, like powers of attorney;Draft bespoke contracts to suit the business and customers’ needs, as and when required;Negotiate a broad range of effective, robust, and commercially astute contracts, ensuring these are reviewed and approved by internal stakeholders through our contracts management platform;Identify/minimise commercial risk during contract drafting, review and pre/post contract award negotiation as well as:Ensure that there is commercial integrity and viability in the commitments made;Ensure that all internal processes relating to the preparation and finalisation of all commercial agreements are met within required time and outcome expectations; andProvide guidance, training, support, and advice to commercial staff on any contractual issues that may arise.Interact daily with Senior and Executive Management and other operational representatives in the following key areas of the business: Sales, Service, Bids and Proposals, Finance, Manufacturing, Procurement, Program Management, and Engineering;Handle confidential and non-routine information;Liaise directly with EMEA legal counsel, as well as the General Counsel of the Security Division, on a variety of legal and contractual matters;Support and implement Contracts Department policies processes and procedures and report any violations to the Director, Contracts Management;Successfully influence key stakeholders to have buy-in to contractual arrangements and processes;Act as custodian of records for assigned tenders and contracts;Train new users who utilise the Company’s contracts management platform; andWork with the Compliance Department to ensure the Company’s policies and procedures as they pertain to Anti-Corruption and export controls, are followed.QualificationsExperience & Attributes:Several years’ relevant experience in a contracts/legal department, with the gravitas to hold their own in a dynamic environment and command the respect of senior sales and business centre managers.Excellent attention to detail and organisational skills, with the motivation to achieve high standards and consistently apply Company policies.Extensive experience (at least seven years) with drafting and negotiating complex contracts and agreements with a variety of international operations and customer types in an organisation of a similar level of complexity.A track record of successful commercial proposal review and negotiation, with an organised and thorough approach, identifying and resolving issues quickly and effectively is desirable.Strong interpersonal, verbal, and written communication skills, able to effectively present and communicate ideas and concepts with senior management.Proven ability to build and manage strong relationships, make, and influence decisions and act as a team player whilst assertively taking the risks into consideration.Process-oriented with the ability to identify and implement change to improve effectiveness.Ability to prioritise their workload and manage a diverse range of internal stakeholders.Possess advanced working knowledge of a variety of computer software applications, including contracts management programs, word processing, spreadsheets, database, presentation software (MSWord, Excel, Access, PowerPoint, and Outlook).Foreign languages are not required but would be valuable.Flexibility to travel on occasion.Knowledge, Training and Qualifications if required:Law degree.Relevant professional education or training or qualifications in commercial and international government agreements, contract law and management is also desirable.Experience in working within the securities and threat detection industry is desirable but not essential.Must be proficient in Microsoft Word and Excel #J-18808-Ljbffr
