Being a Commercial Counsel at iManage Means… You will serve as the commercial contracting expert, with a primary focus on our EMEA customer base, for transactions involving cloud services, data protection, and AI technologies. Reporting to the Associate General Counsel, you will work closely with Sales and our third‑party partners to negotiate cloud services agreements, DPAs, AI‑related terms, and security commitments. You will partner with our Data Protection & Privacy Counsel on customer‑facing privacy and data protection terms, ensuring alignment with established privacy governance. The ideal candidate is a skilled commercial negotiator who combines strong deal‑making instincts with specialized knowledge of privacy and emerging AI regulations. Responsibilities Drafting, reviewing, and negotiating a wide range of commercial contracts, including cloud services agreements, DPAs, security addenda, and AI‑related terms. Leading negotiations with enterprise customers and partners across EMEA, including handling commercial terms for AI‑enabled product offerings (e.g., training data boundaries, data use restrictions, model output handling, transparency commitments). Supporting the negotiation of AI‑related addenda and customer‑specific AI requirements in partnership with our Privacy and AI Governance teams. Collaborating with the Data Protection & Privacy Counsel on matters involving privacy or data protection, including translating privacy policies and frameworks into customer‑facing contractual commitments. Advising Sales and Customer Success teams on contractual positions, deal structures, risk allocation, and negotiation strategy. Supporting the development and refinement of standard templates, playbooks, fallback positions, and negotiation frameworks, especially as they relate to AI functionality. Partnering with Product, Engineering, and Security teams to understand new AI capabilities and ensure commercial documents align with actual product behaviour and commitments. Managing contract workflows and collaborating with Legal Operations to streamline intake, triage, and automation. Cultivating strong internal relationships to facilitate business alignment, deal efficiency, and scalable contracting practices across the organisation. Qualifications Qualification to practice law in the UK. Minimum of 5+ years of legal experience negotiating commercial contracts at a cloud services or SaaS company, or in a law firm’s technology transactions practice. Significant experience negotiating cloud services agreements, including DPAs, data transfer mechanisms, security addenda, and AI‑related terms. Practical experience with AI‑related contractual provisions, including familiarity with the EU AI Act and its implications for commercial agreements and AI governance commitments. A solid understanding of data protection principles (GDPR/UK GDPR) and the ability to collaborate with specialists on customer data protection issues. Excellent negotiation, drafting, and communication skills, with the ability to articulate and defend positions clearly and persuasively. Pragmatic judgement and a solutions‑oriented mindset, balancing legal risk with commercial and strategic objectives. Proven ability to build relationships and work effectively with Sales, Customer Success, Product, Security, and other cross‑functional stakeholders. A proactive, organised approach with the ability to manage competing priorities and drive deals to closure efficiently. A curious mindset with a passion for learning and continuous improvement. Bonus Points Experience negotiating contracts involving AI/ML capabilities. Experience supporting enterprise SaaS products used by sophisticated or highly regulated customers (e.g., legal, financial services, corporate). Familiarity with cloud security concepts or technical architecture considerations relevant to commercial contracting. Prior involvement helping develop or refine commercial contracting playbooks, fallback positions, or negotiation frameworks. Experience supporting a global organization.
