Our client, a leading not-for-profit organisation in the UK, is seeking an experienced Corporate Governance Specialist to join their team.

Job Overview

The successful candidate will play a critical role in ensuring the charity's compliance with statutory, regulatory, and charity commission requirements. They will be responsible for developing and implementing a robust governance and compliance structure, overseeing corporate risk management, and managing all legal matters within the organisation.

This is an exciting opportunity to contribute to the successful delivery of strategic objectives by providing pragmatic and sound legal perspectives on key business decisions.

Main Responsibilities
  1. Facilitate good corporate governance practices by advising the board on their roles, responsibilities, and legal obligations.
  2. Provide Company Secretarial services to the Board and board committees, ensuring that meetings are properly conducted, minutes accurately recorded, and all statutory, legislative, and procedural obligations relating to governance are fulfilled.
  3. Offer expert advice to the executive team and trustee board on legal matters in a cost-effective manner.
  4. Draft, review, and negotiate contracts and agreements to protect the organisation's legal interests.
  5. Co-ordinate and manage the approach to risk, ensuring that the legal, commercial, and reputational interests of the organisation are adequately protected.
  6. E nsure that obligations under UK data protection legislation and GDPR (and when relevant EU GDPR) are met.
  7. Utilise expertise in legislation, governance requirements, and best practice ideally within a Health & Social Care setting and the compliance needs of a charity.
  8. Demonstrate accountability for regulatory, governance, and legal activities and reporting associated with the role.
  9. Possess strong interpersonal skills - able to develop strong relationships and work effectively with internal and external clients, colleagues, board members, and service providers.

  1. A competitive salary of £60,000 - £80,000 per annum.
