Commercial Lawyer

About the Role:
We are seeking an exceptional Commercial Lawyer to join the in-house legal team at Peninsula, a leading global marine energy company. Based in London, the successful candidate will manage a diverse and engaging workload, addressing a broad range of legal matters typical of a global marine energy supply business.
Key Responsibilities:
- Corporate and Regulatory: advising on a broad range of corporate and regulatory matters, with a particular focus on marine energy commodities, including LNG and alternative fuels.
- Group Structuring and Corporate Governance: Advising on group structuring, company incorporation, and the establishment of group licensing arrangements.
- Business Expansion: Provide legal support and guidance on the expansion of new business lines, particularly in emerging areas of the marine energy sector, such as LNG and alternative fuels.
- Contract Drafting and Negotiation: Draft, review, and negotiate a wide range of commercial agreements, including non-disclosure agreements (NDAs), parent company guarantees (PCGs), general terms and conditions, strategic partnerships, sale and purchase agreements, and storage agreements.
- Corporate Transactions: Draft and negotiate key documentation for a variety of corporate transactions, including shareholders' agreements, heads of terms, facility agreements, security documentation, as well as joint venture (JV) agreements and mergers and acquisitions (M&A) deals.
Requirements:
- Comprehensive and up-to-date legal knowledge of corporate and commercial contracts, particularly within the energy sector's regulatory landscape.
- Strong legal analysis skills, with the ability to quickly grasp and apply new legal concepts.
- Proven ability to provide clear, accurate, and accessible legal advice in a dynamic, fast-paced, and entrepreneurial environment.
- Excellent interpersonal and written communication skills, with the ability to engage effectively with both legal and non-legal stakeholders.
- Exceptional relationship-building skills, fostering successful collaborations with key stakeholders at all levels, both internally and externally.
Qualifications:
- English-qualified solicitor/foreign lawyer with 2-3 years relevant post qualification experience at a City or International law firm.
- Ability to work in London.
