Senior Governance Officer

Reports to: Client Relationship Manager
The primary objective of this role is to provide support with board governance services, primarily focusing on a minutes-driven project for a key strategic client of Aztec under the direction of the Client Relationship Manager.
- Coordinate all aspects of board governance matters, including attendance at and preparation of minutes for Board, Committee, and ad hoc meetings, as well as liaison with clients and intermediaries as necessary.
- Assist with the production and circulation of board packs in respect of Board, Committee, and ad hoc meetings.
- Ensure that the service level agreement turnaround times for the production and finalization of minutes, resolutions, and matters are adhered to.
- Draft, to a high standard, minutes for meetings considering complex transactions.
- Oversee the production of basic minutes by junior staff and provide basic minutes training to the team where required.
- Monitor and maintain the status of all minute logs, ensuring the logs are updated accurately and in a timely manner.
- Update minute templates where required.
- Ensure all company secretarial activities are carried out in compliance with legal and regulatory requirements.
Key Skills and Qualifications:
- The ideal candidate will be qualified or studying towards a relevant professional qualification (ICSA Diploma level or equivalent).
- Sound technical financial services knowledge (to be supported through the Aztec Academy).
- Proficient in minute writing.
- Meticulous attention to detail, excellent organizational skills, and time management are required.
- Strong administrative skills and an aptitude for using IT software.
- Excellent interpersonal skills are required to develop close working relationships with colleagues, clients, and business contacts.
