Overview
The role entails providing comprehensive administrative assistance, managing contract oversight, and supporting corporate governance initiatives within the Legal department to advance Vantage's strategic goals and business aspirations. The ideal candidate will not only deliver exceptional administrative services but also adopt a proactive, business-focused, and solution-driven approach to all tasks, demonstrating an enterprise perspective and a proven ability to collaborate effectively across various teams.
Key Responsibilities
- Maintain corporate documentation, including records of board meetings, resolutions, and adherence to regulatory standards.
- Ensure proper execution of all agreements.
- Organize and sustain a digital filing system (including Power of Attorneys and Guarantees, and manage NDAs).
- Provide administrative support and manage the calendar of the General Counsel, including scheduling meetings and appointments.
- Assist in fulfilling client contract compliance obligations.
- Support various office administration functions (e.g., managing couriers and mail).
- Aid in the enterprise vendor management program and facilitate the onboarding of third-party corporate secretarial service providers.
- Monitor law firm engagement letters and billing structures.
- Assist in document preparation and review, particularly concerning straightforward amendments and resolutions.
- Support Board maintenance activities, including coordination and execution of Board meetings, reviewing and executing resolutions, and managing the appointment or removal of directors as necessary.
- Collaborate with external providers on regulatory and legal obligations for corporate secretarial matters across EMEA.
- Assist in responding to requests for copies of documents and policies.
- Review notices and forward them to the appropriate business contacts.
- Support the implementation of a contract management system.
- Assist with legal due diligence efforts related to various group matters.
- Liaise with the North America Legal team as required.
Qualifications
- A university degree or equivalent administrative training certifications is preferred.
- A minimum of 3 years of relevant administrative experience is desirable.
- Experience working across multiple jurisdictions is advantageous.
- Strong written and verbal communication abilities.
- Proficient in reading, analyzing, and interpreting various legal documents.
- Excellent organizational, time management, and problem-solving skills that enable the candidate to manage multiple responsibilities simultaneously and consistently meet tight deadlines.
- Proficiency in Microsoft Word, Excel, and PowerPoint.
- The successful candidate must be a collaborative team player, capable of working effectively with diverse individuals.
- This position requires an organized individual with the ability to manage multiple projects concurrently, work well under pressure, and prioritize tasks with minimal supervision.
