Legal Department Overview
The Legal team oversees the company's legal matters, from compliance to litigation, collaborating with various departments such as Sales, Operations, Human Resources, and Innovation. This team also partners with external law firms to formulate a comprehensive legal strategy and manages these relationships to address issues effectively. Unlike many organizations where legal roles are merely advisory, Vantage empowers its legal staff to directly influence business decisions, aligning legal strategies with long-term operational goals, risk management, and cost efficiency to achieve outcomes that support corporate objectives.
Position Overview
The Director of Compliance & Senior Corporate Counsel, NA is tasked with designing and executing the compliance program in North America. This role collaborates closely with business leaders on ethics and compliance initiatives, requiring a proactive mindset, independent judgment, and the ability to manage multiple projects simultaneously. The ideal candidate will possess a collaborative spirit and the capacity to cultivate positive relationships with internal stakeholders.
Key Responsibilities
Compliance Strategy and Management:
- Develop and implement a comprehensive compliance program to ensure adherence to local, national, and international regulations.
- Continuously enhance Vantage's ethics and compliance program, including drafting, reviewing, and revising policies and procedures to prevent illegal, unethical, or improper conduct while maintaining a business-focused approach.
- Conduct compliance risk assessments to identify and mitigate potential compliance issues.
- Implement the company's global anti-bribery and anti-corruption framework.
- Monitor changes in laws, regulations, and industry standards, updating policies and procedures as necessary.
- Provide guidance on compliance matters related to various operational areas.
- Support ESG and D&I initiatives and corporate sustainability programs.
- Enhance the company's compliance system tools, including the whistleblower hotline and case management tool.
Policy Development and Implementation:
- Draft, review, and update company policies and procedures to ensure compliance with regulatory requirements.
- Ensure employee awareness and adherence to compliance policies through training programs and regular communications.
- Maintain a compliance documentation system for accessibility and visibility.
Risk Management:
- Conduct regular risk assessments to identify and mitigate potential compliance risks.
- Supervise compliance due diligence on third-party service providers and vendors.
- Develop and implement risk mitigation strategies and corrective action plans.
- Collaborate with internal teams to integrate risk management into operational processes.
Regulatory Affairs:
- Stay informed on regulatory developments and provide guidance to senior leadership on compliance-related matters.
Training and Awareness:
- Develop and deliver compliance training programs for employees at all levels.
- Ensure compliance training materials are current and reflect regulatory requirements.
- Promote a culture of ethics and compliance across departments.
- Build positive relationships with other departments to champion a culture of ethics and compliance.
Internal Investigations:
- Conduct internal investigations in collaboration with internal partners and, if necessary, outside counsel.
- Recommend and implement corrective actions to address compliance issues.
- Ensure investigations are conducted fairly, thoroughly, and confidentially.
Reporting and Documentation:
- Provide regular updates and detailed reports to senior leadership on compliance activities.
- Maintain comprehensive records of compliance activities and investigations.
- Develop and present compliance metrics to track program effectiveness.
- Perform additional duties as assigned by management.
Qualifications
Education:
- Bachelor's degree in Law, Business Administration, Compliance, or a related field; advanced degree preferred.
- JD from an accredited law school is required.
Experience:
- Minimum of 5 years of experience in compliance, legal, or regulatory affairs, particularly in the data center or technology sector.
- Significant experience in compliance, including anti-bribery and anti-corruption, trade compliance, and data privacy.
- Corporate compliance and ethics experience is preferred, ideally with experience in-house.
- Experience in leading critical projects from inception to completion.
Skills:
- Strong understanding of compliance regulations in the data center industry.
- Ability to proactively identify compliance risks and effectively mitigate them.
- Exemplary leadership and organizational skills, including project management.
- Excellent analytical and problem-solving skills.
- Strong communication skills to articulate complex risks to various stakeholders.
- Ability to manage multiple projects and priorities successfully.

Additional Details
- Salary Range: $145,000 - $160,000 Base + Bonus.
- This position is eligible for company benefits including medical, dental, and vision coverage, life and AD&D, short and long-term disability coverage, paid time off, and participation in a 401k program.
- Compensation will depend on various factors, including qualifications and experience.
