Corporate Governance Coordinator

Position Overview: The role involves serving as the Senior Assistant to the Executive Director and Company Secretary, focusing on statutory compliance, entity management, minute-taking, and administrative tasks related to the Group's trading subsidiaries.
Main Stakeholders: This position will interact with all subsidiary board directors and members of the Group functional teams, including Group Finance, Group Treasury, and Group Legal.
Key Responsibilities:
- Oversee the development and coordination of essential governance policies and processes as the Group implements its Leading Responsibly framework, aiding all businesses in compliance and execution.
- Manage governance matters and the administration of legal entities across various regions.
- Organize and attend subsidiary board meetings, ensuring the production of high-quality and precise minutes.
- Handle the drafting and legal review of documentation related to subsidiary entities, including formation documents and compliance materials.
- Assist with corporate reorganizations, including asset or business transfers.
- Coordinate with regional and Global Finance teams to ensure compliance with local financial statement requirements.
Candidate Profile: Ideal candidates will possess a degree and be a qualified company secretary with a minimum of five years of relevant experience, preferably in private family-run companies, charities, or public limited companies.
Required Skills:
- Expertise in Board Administration, Governance, policy development, Annual Reports, Regulatory compliance, and ESG.
- Strong knowledge of company law.
- Excellent administration, organizational, and communication skills.
- Proficiency in English writing and comprehension.
- High computer literacy, particularly with Diligent Entities, Board, and Microsoft applications.
Additional Attributes: The successful candidate will demonstrate proactive project management and organizational skills, inspire confidence through legal knowledge, and possess the ability to influence commercial decisions with practical advice.
