This position is designed to provide essential governance assistance and strategic advice to the senior management teams and decision-making entities within Protocol National Limited.

Main Purpose of the Role:

The primary objective of this role is to ensure effective governance practices across the organization. The successful candidate will collaborate closely with the Governance Officer to facilitate the smooth operation of committees and will take a proactive role in supporting the governance framework.

The individual will also engage with various committees to guarantee that meetings are conducted efficiently and in accordance with established governance protocols.

Key Responsibilities:

1. Deliver comprehensive administrative support to various committees, including organizing meetings, preparing documentation, and recording minutes as required.

2. Spearhead governance support for specific committees, ensuring alignment with the organization’s governance structure.

3. Participate in governance-related projects and initiatives, contributing to the enhancement of governance practices.

4. Oversee processes related to declarations of interest and compliance audits.

5. Provide guidance and training to committee secretaries, promoting best practices in governance.

6. Prepare detailed notes and reports for senior management and committee chairs, ensuring all aspects of meetings are effectively managed.

7. Maintain accurate records pertaining to governance activities, ensuring compliance with relevant regulations.

8. Coordinate the scheduling of committee meetings and facilitate member participation.

9. Develop an annual agenda for committee meetings and assist in the onboarding process for new members.

10. Act as a liaison between committee members and the organization, facilitating communication and feedback.

11. Enhance internal and external communication channels regarding governance matters.

12. Manage the recruitment process for committee members, including advertising and arranging interviews.

13. Supervise the Governance Coordinator, ensuring that objectives are met and performance is assessed.

14. Undertake additional duties as directed by the Governance Officer.

Education and Qualifications:

  • A degree or equivalent professional experience.

Knowledge and Skills:

  • Thorough understanding of governance frameworks and relevant legislation.
  • Exceptional organizational and administrative capabilities.
  • Ability to collaborate effectively with diverse stakeholders.
  • Experience in servicing senior committees and acting as a committee secretary.
  • Strong time management skills with the ability to meet tight deadlines.
  • Capacity to work independently with minimal supervision.
