Job Overview

As an integral part of the Corporate Secretariat division, the chosen candidate will play a vital role in delivering comprehensive secretarial services to the Group and its international subsidiaries across various regions including the UK, Europe, Asia, Australasia, and the Middle East.

Key Responsibilities:

Support the UK team within a dynamic and collaborative international Corporate Secretariat, focusing on essential company secretarial functions for the Group's subsidiaries. This includes:
  • Overseeing compliance and management of subsidiaries, branches, and other entities, which encompasses:
  • Establishing and registering new entities.
  • Handling the deregistration or liquidation of existing entities.
  • Maintaining statutory documentation and entity management databases.
  • Drafting board minutes and shareholder resolutions for both routine and exceptional matters.
  • Submitting statutory returns and accounts.
  • Providing advisory support for projects, bids, and KYC requirements.
  • Preparing Powers of Attorney.
  • Facilitating document and contract execution requests.
  • Assisting the M&A Team with mergers, acquisitions, divestitures, and related project support.
  • Reviewing UK subsidiary accounts.
  • Offering assistance to other members of the Legal team.
Qualifications and Skills:
  • Demonstrated experience in company secretarial roles, preferably within an international Corporate Secretariat.
  • Expertise in managing entity administration across diverse jurisdictions.
  • Strong technical skills in company secretarial practices, ideally within a complex international framework.
  • Proficiency in Microsoft Office at an intermediate level.
  • Familiarity with entity management platforms or databases is advantageous.
Educational Background:
  • ICSA qualified or currently pursuing ICSA qualification, ideally with experience in an international corporate secretariat.
OR
  • Degree qualified (or equivalent) with a willingness to pursue ICSA as postgraduate education.
Personal Attributes:
  • Exceptional organizational and administrative capabilities.
  • Strong verbal and written communication skills, particularly in English.
  • Adept at prioritizing and managing a diverse workload; capable of working independently with minimal oversight.
  • Comfortable in a fast-paced environment with tight deadlines and eager to embrace new responsibilities.
  • Professional demeanor and a collaborative team spirit.
  • Excellent interpersonal skills, demonstrating tact, integrity, and confidentiality.

Work Environment:

This position is based in the UK, with a primary location in either Epsom or London, and may offer hybrid or remote working options in accordance with company policies. Occasional travel to the office may be required for meetings.
