About the Role

This position focuses on collaborating with the Ocado Solutions division to offer strategic legal counsel regarding both domestic and international transactions, while facilitating the formulation of business strategies and providing legal and risk management expertise.

Additionally, in partnership with the Associate General Counsel, the Senior Legal Advisor will support stakeholders across the Solutions division and key collaborators, including at the executive level.

The Senior Legal Advisor will also be expected to engage in, support, and represent the Associate General Counsel at senior leadership and management discussions.

Key Responsibilities

  • Serve as a trusted strategic partner for key stakeholders, including executive team members, and act as the primary subject matter expert for all commercial and legal issues pertaining to the Solutions division and Ocado Group.
  • Proactively identify legal developments that may affect our operations and strategic objectives, collaborating with relevant stakeholders to devise solutions and take responsibility for achieving favorable outcomes for the business.
  • Lead, mentor, and develop junior team members to provide high-quality and commercially viable legal advice to the Solutions division (and, where applicable, Ocado Group) in a timely manner.
  • Oversee the drafting, negotiation, and advisory processes related to new and existing international Solutions contracts (and, where applicable, Ocado Group).
  • Manage all legal contributions regarding the drafting, negotiation, and provision of expert advice on a diverse range of domestic and cross-border commercial and legal matters supporting the Solutions division (and, where applicable, Ocado Group), including:
    • Technology and hardware procurement agreements, including supply and/or manufacturing contracts
    • Technology design appointments
    • IT procurement, including cloud services, SaaS, and IT licenses
    • Intellectual property matters, including collaboration agreements, licensing, and cross-licensing
    • Data protection issues, including data protection agreements and advisory
    • Logistics and distribution contracts
    • General procurement of goods and services
  • Exhibit a well-developed, pragmatic, and customer-centric approach to risk management.
  • Adapt communication styles flexibly to meet the needs of stakeholders in ambiguous or challenging situations, consistently exceeding business expectations.
  • Encourage and reward a strong focus on results.
  • Anticipate, identify, and advise on intellectual property, competition, and data protection concerns in the context of commercial and technology contracts, collaborating with Compliance, Regulatory, and IP teams on relevant issues.
  • Ensure adherence to corporate governance, including competition/antitrust policies, during transactions.
  • Proactively identify, advise, and manage disputes, construction/property, employment, corporate, and financing matters related to Solutions (and, where applicable, Ocado Group), working collaboratively with the Disputes, Employment, Construction, and Corporate Legal teams on pertinent issues.
  • Build and nurture strong relationships with external counsel, managing these relationships effectively in terms of delivery, risk, and cost.
  • Contribute to the development of the Legal team's strategy and enhance the team's profile by initiating and advancing team objectives.
  • Develop and deliver training and legal updates to the Solutions division (and, where applicable, Ocado Group) on various legal and regulatory topics.
  • Oversee the creation, development, and updating of standard contract templates and knowledge materials for the Solutions division (and, where applicable, Ocado Group).
  • Contribute to the enhancement of legal systems and operations impacting the function, seeking opportunities for improvement, such as automation or more efficient in-house legal practices.
  • Manage the legal budget concerning Solutions operations globally.
  • Support, mentor, and develop the broader Legal team to help them reach their potential and deliver quality legal advice.

About You

  • A minimum of 10 years post-qualification experience as a commercial or technology lawyer. Candidates outside this range who demonstrate the ability to fulfill the role are encouraged to apply.
  • Qualifications: Qualified Solicitor/Barrister specializing in commercial and technology contracts, ideally trained with a leading law firm or in-house legal team.
  • Expertise: Experience in advising on commercial and technology law internationally, with a desire to broaden this expertise. Strong knowledge of intellectual property and data protection.
  • Leadership: Proven experience collaborating with senior management, including executive and board levels, in complex environments.
  • Skills: Exceptional experience in domestic and cross-border transactions, outstanding business judgment, and client counseling abilities. Strong academic credentials.
