Job Description

Thomson LRC is seeking a highly skilled and experienced professional to fill the role of Head of Governance and Compliance. This is a critical position that will play a key role in ensuring the effective governance and compliance of our organization.

Key Responsibilities
  • Lead Governance and Compliance: Develop and implement a comprehensive governance and compliance framework that aligns with industry best practices and regulatory requirements.
  • Regulatory Compliance: Ensure that the organization is compliant with all relevant regulatory requirements, including those related to corporate governance, financial reporting, and data protection.
  • Group Governance and Secretariat: Provide secretariat support to the Group Board and Committees, including preparing meeting materials, taking minutes, and ensuring that actions are completed in a timely manner.
  • Company Secretarial: Act as a Board authorized Secretary on a wide range of matters, including reviewing and executing legal documents, discharging legal and regulatory obligations, and advising senior staff and Boards on Company Secretarial matters.
  • Policy Development and Implementation: Develop and implement policies that align with industry best practices and regulatory requirements, and ensure that they are communicated effectively to all stakeholders.
  • Internal Governance: Lead and manage the development of the organization's internal governance arrangements, including linking governance planning to Group wide strategic planning activity, integrating the Group Delivery Plan, Board and Committee activities, annual regulatory and compliance requirements and Executive Team activity into a single Corporate Planner.
Requirements
  • Qualifications: Qualified solicitor with a strong background in corporate governance and regulatory compliance.
  • Experience: Proven track record of developing and implementing corporate governance and regulatory compliance plans, policies, and procedures, and leading successful multi-disciplinary projects.
  • Skills: Strong analytical and problem-solving skills, excellent communication and interpersonal skills, and the ability to work effectively in a fast-paced environment.
