Role: In-House Corporate Governance Counsel

Location: Glasgow

Iconic Resourcing is on the lookout for a skilled Corporate Governance Counsel to join a distinguished client in Glasgow. This position is integral to the client's Legal Corporate Governance & Company Secretarial Team, focusing on providing guidance on corporate governance, legal adherence, internal and external reporting, and company secretarial functions.

Core Responsibilities:

  • Governance & Sustainability: Provide counsel on and oversee the execution of the client's Governance and Sustainability Framework. Ensure compliance with UK regulations, alignment with the global corporate model, and adherence to the UN Sustainable Development Goals and ESG standards.
  • Legal Advisory: Serve as a principal advisor to the Head of Legal – Corporate Governance and collaborate with other legal team members, delivering commercially focused legal guidance and support to company secretaries and essential corporate divisions.
  • Compliance Oversight: Oversee daily legal and compliance operations, directing, managing, and coordinating external legal advisors to achieve corporate governance and company secretarial objectives efficiently and within budgetary constraints.
  • Organizational Development: Advocate for the Corporate Governance & Company Secretarial Team as a catalyst for organizational transformation, growth, and commercial advancement. Ensure legal resources are effectively aligned to establish and implement best practice legal procedures.
  • Corporate Governance: Assume responsibility for corporate governance compliance across the group and ensure the implementation and ongoing adherence to group governance protocols.

Candidate Profile:

  • Qualifications: Fully qualified Solicitor in Scotland or England.
  • Experience: Proven background in a Corporate, Regulatory, or Compliance setting, with practical experience in advising, leading, or managing a company secretarial, corporate governance, and compliance unit within a high-value/high-risk environment.
  • Skills: Strong expertise in advising on corporate governance frameworks, risk management, audit processes, and financial/non-financial reporting, including ESG, TCFD reporting, and compliance with the UK Corporate Governance Code.
