Role Summary:
As the Senior Vice President of Governance and Compliance, you will play a pivotal role in the development, execution, and oversight of governance and compliance initiatives that align with legal standards and regulatory requirements. You will collaborate closely with the executive team and Board to ensure that the organization meets its strategic objectives while fostering a culture of accountability and transparency.


Key Responsibilities:

  • Formulate and implement governance policies and practices that adhere to industry standards.
  • Ensure that the governance framework is in line with best practices and regulatory mandates.
  • Oversee the scheduling and documentation of Board and Sub-Committee meetings, providing guidance on governance matters.
  • Design and execute compliance programs that meet applicable laws and regulations.
  • Monitor and report on compliance activities, proactively identifying and addressing potential risks.
  • Conduct audits and assessments, and develop training programs to enhance organizational knowledge.
  • Manage responses to investigations and audits effectively.
  • Establish and maintain a comprehensive risk management framework.
  • Integrate risk management practices into daily operations and report on their effectiveness.
  • Develop and implement codes of conduct and ethics policies.
  • Promote a culture of integrity and ethical behavior throughout the organization.
  • Oversee the whistleblower program, ensuring that concerns are addressed promptly and appropriately.
  • Lead and mentor the governance and compliance team, fostering professional growth and development.
  • Engage with regulatory bodies, industry groups, and other stakeholders to ensure compliance and best practices.

Qualifications:
Candidates should possess a Bachelor's degree (Master's preferred) or equivalent experience, with a strong understanding of corporate governance principles, compliance frameworks, and regulatory requirements. Proven experience in developing and implementing governance and compliance programs is essential.
