Position Overview

The Corporate Legal Advisor will play a crucial role in providing legal expertise across various business functions. The individual will be responsible for a range of duties, which may vary in focus based on the evolving needs of the organization.

  • Offering legal counsel to senior management and different departments regarding contractual obligations, compliance standards, and regulatory issues.
  • Staying informed about legislative changes that could affect the organization.
  • Drafting, evaluating, and negotiating diverse agreements, including Licensing Agreements, Consultancy Agreements, Service Agreements, Data Processing Agreements, Procurement Agreements, and Confidentiality Agreements.
  • Overseeing litigation and dispute resolution processes, including collaboration with external legal counsel.
  • Providing legal support for mergers and acquisitions, along with corporate governance matters.
  • Advising on and implementing compliance policies and procedures in accordance with relevant laws and regulations.
  • Conducting legal research and advising on complex legal challenges, assessing potential risks and their implications for the organization.
  • Contributing to strategic planning initiatives within the company.
  • Identifying opportunities for enhancing the operational efficiency of the OPEN Health Legal Team, including revising contract templates and policy documents.
  • Maintaining ongoing professional development and compliance with certification requirements.
  • Recognizing and evaluating organizational risks, providing recommendations to stakeholders to support their business objectives.
  • Designing and delivering training sessions on legal and compliance matters for staff.

Qualifications and Skills

Essential skills include:

  • In-depth understanding of commercial contracts and negotiation processes.
  • Comprehensive knowledge of corporate governance and entity management.
  • Familiarity with regulatory frameworks, particularly in the pharmaceutical sector, is advantageous.
  • Ability to cultivate strong working relationships with both internal and external stakeholders.
  • Pragmatic approach to legal issues and problem-solving.
  • Exceptional interpersonal and communication skills, capable of simplifying complex legal concepts for non-legal audiences.
  • Collaborative team player.
  • Strong project management capabilities.
  • Attention to detail and organizational skills.
  • Acute awareness of commercial dynamics.

Required Qualifications:

  • Juris Doctor degree or Bachelor of Law (LLB) from an accredited institution.
  • Registered and qualified with SRA and/or CILEx.

Travel Requirements:

  • As necessary based on business needs.
