**COMPANY SECRETARY**
**LONDON OR WELLINGBOROUGH (HYBRID)**
We are recruiting for a Company Secretary to provide company secretarial services for the Board and its committees for Weatherbys Banking Group working closely with the Chair and the CEO to ensure effective communication and information flow. This is a demanding and complex role and will require an experienced governance professional. The role is designated certified under SMCR.
This is a part-time role, to work 3 days per week (60%FTE) in a hybrid model based in either our London or Wellingborough office. 1 day a week will be required in either our Wellingborough or London office. Board and Board committee meetings take place in London when in person attendance is required.
**WHY JOIN THE BANKING GROUP?**
We are looking to offer a salary of up to £100,000 FTE per annum dependent on experience and location (£60,000 pro rata). **MAIN DUTIES**
- End to end corporate secretarial services to the Weatherbys Banking Group Board and committees, including the Group Risk and Group Audit Committees.
- Ensure that best practice governance processes for the Boards and their Committees are followed.
- Provide strategic support to the Chair and CEO in matters relating to governance and taking a pro-active role in ensuring that policies and processes in this area are fit for purpose.
- Consider and advise upon appropriate committee and regulatory structures.
- Promote a culture of effective management of governance and that papers and minutes are in good order.
- Working with key stakeholders to set agenda and brief the Executive on lead times for the delivery of Bank Board and committee papers.
- Reviewing and assisting in minuting Board and Committee meetings.
- Developing a close working relationship with Chairs and committee members.
**KNOWLEDGE AND EXPERIENCE**
- Experienced governance professional with significant financial services experience.
- Strong exposure and experience with managing Board and Committee meeting lifecycle.
- The ability to work in a collaborative manner with the Board, the executive team and external stakeholders.
- Strong strategic, analytical, and influencing skills.
- ICSA/CGI fully qualified Company Secretary preferable.
