**The role and what you'll be doing**

As our Legal and company secretary, you will have primary responsibility to deliver highly efficient company secretarial services and governance support throughout the business. You will help develop and deliver the business governance policies and procedures, acting as a key link between management, shareholders, regulatory bodies, and the board. You will be critical in helping the business achieve its aims and objectives, ensuring all activities are conducted in accordance with legal, ethical, and regulatory compliance.

**Key Responsibilities: -**
- Act as the Company Secretary and take the lead on all governance matters.
- Assisting with the development of policies, processes, and best practice.
- Manage records of contracts and other legal documents.
- Have responsibility to our operating or dormant entities in line with the UK laws and regulations.
- When necessary, defend and settle disputes and litigation involving the group and liaise with external parties as required.
- Certify that the business complies with relevant laws, regulations, and policies. You will monitor changes in legislation, updating the board on any legal developments that may impact the business.
- Support our team with providing guidance in all matters concerning the laws and regulations governing the group, its colleagues, legal structure and the conduct of operations and transactions conducted by the business.
- Oversee governance practices, ensuring annual compliance, good legal standing (Filings, licenses, corporate books etc) and that annual financial accounts are completed and approved within the legal timeline.
- Manage communications with shareholders, including shareholder and other general meetings, to help facilitate the exercise of shareholders’ rights.
- Handle matters related to share transfers, dividends, and other corporate actions.
- Report on any non-compliance or at-risk compliance issues and assist the business to rectify the position.
- Liaise with relevant government and regulatory authorities as and when required.
- Undertake annual revision and drafting of UK disclosure statements.
- Report and assist the business with annual revisions.
- Support with the management of corporate legal matters as directed by our Chief Compliance Officer.
- Recommend improvements to policies or processes using lessons learnt from legal matters and implement best practices with relevant stakeholders to reduce future risk.
- Provide support to the compliance team on all regulatory matters.
