**About The Role**:
RAC have an exciting opening for a **Company Secretary** who will be responsible for the day-to-day management of the Group Secretariat function, providing high-quality corporate governance to the Group and ensuring effective organisation and management of the Board and Committees.
You will either be fully or part qualified within the **Chartered Governance Institute UK & Ireland Qualifying **Programme** **and work within the Governance, Risk and Compliance division. The division is highly regarded across the business and plays a central role in delivering our strategy. You will work closely with the wider GRC division, which places a high value on having a collegiate and supportive culture whilst delivering exceptional service to the business.
You remit will include providing corporate governance advice; assisting on transactional work; preparing and co-ordinating board papers and resolutions; managing the stakeholders of the various Boards and Committees and maintaining the Group’s company secretarial records and completing statutory and regulatory filings and returns.
This is a high-profile role, reporting in directly to our Chief Risk & Legal Officer and with a high degree of exposure to both the executive committee members and board directors. The work will be fast paced with high expectations and huge opportunities to play a pivotal role in strategically important projects.
Based in our iconic **Bradley Stoke** office and working **hybrid **hours of 2 days a week in the office and 3 days a week working from home
**What you will do**
- Improve corporate governance processes and procedures, ensuring good compliance with all aspects of the Companies Act 2006 and other applicable legislation.
- Support corporate transactions incidental to the Group’s strategic decisions, responding to due diligence requests and assisting with any associated RNS announcements.
- Maintain the Group’s Market Abuse regulation insider lists.
- Prepare and co-ordinate Director appointments and resignations across the Group, ensuring that all internal governance approvals are satisfied.
- Handle AML and other requests for information relating to corporate structure and governance.
- Manage overall responsibility for governance-related updates of the corporate website and Intranet and maintain a comprehensive library of all key corporate documentation.
- Contributing towards advancing and documenting the firmwide ESG strategy.
**What you will need**
We are looking for someone who can demonstrate an excellent understanding of the role of the Company Secretary with proven experience, ideally within an FCA/PRA regulated environment. As well as in-depth knowledge of Companies Act and awareness of corporate governance regulation and other legislative requirements
- Sound knowledge of annual report, reporting requirements and experience of drafting annual reports
- Experience of corporate transactional projects would be an advantage.
- Ability to communicate clearly and succinctly in a non-technical way and adjust communication style to changing situations and different stakeholders, with the gravitas and presence to operate effectively at Board and Executive level.
- A high level of interpersonal sensitivity and the ability to raise issues and promote and improve good governance with diplomacy and tact.
