As a key member of the Resources Department, the Governance and
Administration Officer will ensure we are effective and efficient in our
governance and administrative processes.

Description of post

To provide effective administrative support for Trust Council and the Senior Management team to ensure efficient and effective running of Trust business. To support Trust Council in relation to Governance processes and related Charity Law, ensuring compliance of policies and procedures and with relevant law and best practice. To ensure that the Trust’s legal and governance responsibilities are undertaken and executed in
a robust and transparent way, with trustees updated on any relevant legal and/or governance changes.

the wildlife of Birmingham, Dudley, Sandwell, Walsall and Wolverhampton. We are one of 46 local, independent Wildlife Trusts working to make the UK a better place for people and wildlife. The Wildlife Trust for Birmingham and the Black Country works to conserve biodiversity, improve the environment and raise awareness and understanding of wildlife issues. We have over 7,000 members and have projects, nature reserves and environment centres across the area. We have exciting and ambitious plans to develop the Trust to help wildlife and engage more people with nature.

As a key member of the Resources Department, the Governance and Administration Officer will ensure we are effective and efficient in our governance and administrative processes.

Key Tasks and Responsibilities
Liaise closely with the Chief Executive, Chair / Vice Chair, Treasurer and Honorary Secretary
to ensure effective organisation and administration of Council meetings and sub-committee meetings.Organising the process of Trust Council paper preparation, coordinating contributions from staff and Trustees, proof reading, clarifying progress against actions and ensuring timely distribution of final papers before each meeting.Attend Council meetings, ensuring the timely production and distribution of accurate minutes of key discussions, actions and decisions taken.Follow up on agreed Board/Committee actions ensuring actions which may interlink between committees are understood and developed accordingly. Maintain and update the annual Trust Council Meeting Plan. Oversee scheduling of other Trust Council sub-group or committee meetings, chiefly the Finance and Risk Committee and Personnel Committee.Act as a first point of contact for Trustees and the Senior Management team for
meeting related enquiries and constitutional matters.Support the Nominations Committee by managing the process of recruitment, nomination and induction of TrusteesSupport the organisation of the Annual General MeetingProvide effective support functions for Trust Council, under the provisions of the governing document, ensuring compliance with Charity Law and the Charity Commission and maintenance of Trustees’ HandbookPrepare statutory returns and compliance information. Maintaining up-to-date corporate documents and ensuring that all required documents are filed at Companies House and Charities Commission within the requisite deadlines.Co-ordinate the gathering of content for the Trustee’s Annual Report. AdministrationProvide effective administrative support for the CEO, and Senior Management team as required, including diary management; managing correspondence; responding to enquiries; scheduling meetings; booking venues and liaising over agendas.Work with the senior team to review, organise and index electronic filing systems;
responsible for the safe storage of business contracts and related documents.Ensure the Trust’s Policies are reviewed on a regular basis and kept up to date in line with relevant legal frameworks.Ensure the Trust is compliant with the Data Protection Act including following appropriate policies, processes and procedures. Support the CEO to plan, organise and manage all Senior Management team meetings. To work with the Senior team to co-ordinate Staff meetings: prepare, collate and distribute agendas and papers, taking minutes and monitoring follow up actions, as required. Enable the efficient use of CEO time, managing the CEO’s diary and travel arrangements.Liaise with other external partners to co-ordinate the CEO’s attendance at meetings e.g. with politicians, funders, other NGOs and potential donors.
